Initial Market Price definition

Initial Market Price as used herein, means the lower of (x) the Nasdaq Official Closing Price (as reflected on N▇▇▇▇▇.▇▇▇) immediately preceding the signing of this Warrant; or (ii) the average Nasdaq Official Closing Price of the common stock (as reflected on N▇▇▇▇▇.▇▇▇) for the five trading days immediately preceding the signing of this Warrant.
Initial Market Price means the Market Price of the Common Shares prior to the execution of the Note Purchase Agreement;
Initial Market Price means the greater of (a) $5.00 per share of Common Stock, or (b) the average (rounded to the nearest full cent, with the cents rounded up if the third decimal place is 5 or more) of the closing sale prices of a share of Common Stock as reported on the Nasdaq Stock Market as of the end of the regular trading session, as reported in The Wall Street Journal, for the five (5) consecutive Nasdaq trading days ending on and including the Nasdaq trading day immediately preceding the date of this Agreement. It is acknowledged and agreed that the Initial Market Price is $7.10 per share.

Examples of Initial Market Price in a sentence

  • The monthly recurring charge (such charge, as may be reduced pursuant to the Agreement, the "Monthly DAP Charge") for one (1) Dedicated Dial-Up Access Port other than an Existing Dedicated Dial-Up Access Port shall be set at the DAP Initial Market Price, as set forth in Exhibit B-2, and shall be automatically reduced according to the schedule set forth in Exhibit B-2.

  • The share price for determining the number of MIKN Shares deliverable to HOC shall be the lower of: (i) the Initial Market Price; or (ii) the average of the high and low price of MIKN Shares on the NASDAQ National Market System on the day the Bonus License Fee becomes payable.

More Definitions of Initial Market Price

Initial Market Price means $17.75 per share, and shall be proportionately adjusted for any: (i) dividend or distribution made on the Common Stock in shares of Common Stock; (ii) subdivision of the Common Stock into a greater number of shares; (iii) combination of the Common Stock into a smaller number of shares; or (iv) issuance of shares of capital stock by reclassification of the Common Stock.
Initial Market Price means (i) $1.08 (the “Threshold Price”) for any Purchaser that is not an officer, director, employee or consultant of the Company and (ii) $1.08 for any Purchaser that is an officer, director, employee or consultant of the Company.
Initial Market Price means the average (rounded to the nearest full cent, with the cents rounded up if the third decimal place is 5 or more) of the volume weighted closing sale prices of a share of Common Stock as reported on the Nasdaq Stock Market as of the end of the regular trading session, as reported in The Wall Street Journal, for the twenty (20) consecutive Nasdaq trading days ending on and including the Nasdaq trading day immediately preceding the Effective Date of this Agreement.
Initial Market Price means the volume weighted average price (“VWAP”) of the Company’s common stock over the ten (10) trading day period prior to close.
Initial Market Price means the sum agreed with the Council following the Initial Market Price Estimate, in terms of Clauses 5(c), 6(b) and 7(a);
