Initial Registrable Securities definition

Initial Registrable Securities means (i) the Common Shares issued or issuable upon conversion of the Notes issued pursuant to the terms of the Securities Purchase Agreement, and (ii) any capital stock of the Company issued or issuable with respect to the Common Shares, or the Notes as a result of any stock split, stock dividend, recapitalization, exchange or similar event or otherwise without regard to any limitations on conversion of the Notes.
Initial Registrable Securities means (i) the Conversion Shares issued or issuable pursuant to the terms of the Notes, (ii) the Warrant Shares issued or issuable upon exercise of the Warrants and (iii) any capital stock of the Company issued or issuable with respect to the Notes, the Conversion Shares, the Warrant Shares or the Warrants as a result of any stock split, stock dividend, recapitalization, exchange or similar event or otherwise, in each case without regard to any limitations on conversion, amortization and/or redemption of the Notes or exercise of the Warrants.
Initial Registrable Securities shall have the meaning specified in the Registration Rights Agreement.

More Definitions of Initial Registrable Securities

Initial Registrable Securities has the meaning set forth in Section 5(a)(ii).
Initial Registrable Securities means (i) the Conversion Shares issuable upon conversion of the Notes issued in connection with the Closing, and pursuant to the terms of the Securities Purchase Agreement, (ii) the Warrant Shares issued or issuable upon exercise of the Warrants issued in connection with the Closing, and (iii) any capital stock of the Company issued or issuable with respect to the Notes, Conversion Shares, Warrants, and Warrant Shares as a result of any anti-dilution, ratchet or similar rights; stock split, stock dividend, recapitalization, exchange or similar event or otherwise without regard to any limitations on conversion of the Notes or exercise of the Warrants.
Initial Registrable Securities means (i) the Conversion Shares issued or issuable upon conversion and/or redemption of the Notes, (ii) the Interest Shares issued or issuable with respect to the Notes, (iii) the Warrant Shares issued or issuable upon exercise of the Warrants, and (iv) any capital stock of the Company issued or issuable with respect to the Conversion Shares, the Notes, the Warrant Shares, the Warrants and the Interest Shares as a result of any stock split, stock dividend, recapitalization, exchange or similar event or otherwise, without regard to any limitations on conversions or redemptions of the Notes.
