Initial Share Price definition

Initial Share Price for a Share means the Closing Price on the Exchange (or where such Exchange does not announce or publish a Closing Price, the last traded price, or, if necessary, the mid-market price) for that Share on the Initial Valuation Date, subject to adjustments that may be made pursuant to “DESCRIPTION OF THE NOTES – Adjustments and Exceptional Circumstances”.

Initial Share Price means the closing price of the Common Shares on the Stock Exchange on the last trading day of the year immediately prior to the first year of any Measurement Period, provided, however, that, with respect to calculation of the Incentive Fee in the years ending December 31, 2014 and December 31, 2015, the Initial Share Price shall be the closing price of the Common Shares on the Stock Exchange on the last trading day of the year ending December 31, 2013.

Initial Share Price has the meaning specified in Section II(a).

• Such computation shall include any out-of-pocket losses (which may include but not be limited to the difference between the Initial Share Price and the average price at which the shares are purchased during the term of this Transaction (as this Transaction may be terminated early as a result of the operation of this Section X(a)) and any actual or anticipated loss or cost incurred as a result of its terminating, liquidating, obtaining or reestablishing any hedge or related trading position.

• The Initial Share Price will also be adjusted as discussed above.

• The Option would vest with respect to the remaining 10% of the shares covered by the Option in 10 equal annual installments, commencing on the first anniversary of the effective date of the Executive’s employment agreement with the Company, and the per share exercise price of that portion of the Option would be the Initial Share Price (as defined in the Subscription Agreement).

• A holder of Company Common Stock who would otherwise have been entitled to a fractional share of Parent Common Stock shall be entitled to receive a cash payment in lieu of such fractional share in an amount equal to the product of such fraction multiplied by the Parent Initial Share Price or the Parent Additional Share Price, as applicable.

Initial Share Price means, with respect to a Reference Share, the Relevant Price of such Reference Share on the Pricing Date as specified on the cover page of the applicable Pricing Supplement.
