Such computation shall include any out-of-pocket losses (which may include but not be limited to the difference between the Initial Share Price and the average price at which the shares are purchased during the term of this Transaction (as this Transaction may be terminated early as a result of the operation of this Section X(a)) and any actual or anticipated loss or cost incurred as a result of its terminating, liquidating, obtaining or reestablishing any hedge or related trading position.

A holder of Company Common Stock who would otherwise have been entitled to a fractional share of Parent Common Stock shall be entitled to receive a cash payment in lieu of such fractional share in an amount equal to the product of such fraction multiplied by the Parent Initial Share Price or the Parent Additional Share Price, as applicable.
