Examples of Institutional Sellers in a sentence
Service of any notice or other communication on the Institutional Sellers’ Representative shall be deemed to constitute valid service thereof on all the Institutional Sellers.
If a Response Notice is not received by the Indemnitee prior to the expiration of the Dispute Period, then the Sellers’ Representative (or, in the case of (i) an Individual Claim, to the applicable Indemnitor or (ii) an Institutional Seller Claim, to the Institutional Sellers) shall be conclusively deemed to have agreed that the full Payable Amount is owed to the Indemnitee.
No variation of this agreement will be valid unless it is in writing and signed by or on behalf of the Buyer, each of the Institutional Sellers and the Sellers’ Representative (or, in the case of a waiver, by the party granting such waiver).
At the Closing, each Institutional Seller shall deliver to Purchaser certificates representing such Institutional Seller's Preferred Shares to be purchased by Purchaser, free and clear of any lien, encumbrance, security agreement, equity, option, claim, charge or restriction, other than restrictions imposed by federal or applicable state securities laws.
In the event of any adjustment pursuant to Section 3.4 payable to the Sellers such amount shall first be paid to the Institutional Sellers until they have received the Redemption Value in full.
