Whereas: (A) Each of the Sellers are, at the date of this Agreement, the beneficial owner and registered holder of that number of Shares as set out opposite its name in Schedule 1 and, in the case of the Institutional Sellers, the legal and beneficial owner of the Shareholder Loans.
No variation of this agreement will be valid unless it is in writing and signed by or on behalf of the Buyer, each of the Institutional Sellers and the Sellers’ Representative (or, in the case of a waiver, by the party granting such waiver).

The Institutional Sellers shall at all times maintain an agent for service of process and any other documents in proceedings in England or any other proceedings in connection with this Deed.
