As of the Petition Date, the Intercompany Borrower, without defense, counterclaim, or offset of any kind, was indebted and liable to the Intercompany Lenders under the Intercompany Note in the aggregate principal amount of not less than $1,110,000,000.00, plus accrued and unpaid interest thereon as of the Petition Date (collectively, the “Intercompany Loan Obligations”).
