Intercompany Debt definition

Intercompany Debt has the meaning specified in Section 7.02(d).
Intercompany Debt means any Indebtedness, payables or other obligations, whether now existing or hereafter incurred, owed by Holdings or any Subsidiary of Holdings to Holdings or any other Subsidiary of Holdings.
Intercompany Debt means Debt to which the only parties are any of Issuer, Guarantor and any of their Subsidiaries; provided, however, that with respect to any such Debt of which Issuer or Guarantor is the borrower, such Debt is subordinate in right of payment to the Notes.

  • Without limitation of the foregoing, so long as no Default has occurred and is continuing, the Loan Parties may make and receive payments with respect to Intercompany Debt; provided, that in the event that any Loan Party receives any payment of any Intercompany Debt at a time when such payment is prohibited by this Section, such payment shall be held by such Loan Party, in trust for the benefit of, and shall be paid forthwith over and delivered, upon written request, to the Administrative Agent.

More Definitions of Intercompany Debt

Intercompany Debt means indebtedness owed by the Company or any Subsidiary solely to the Company or any Subsidiary.
