Interim Documents definition

Interim Documents means the "Interim Documents" as defined in the Interim Facilities Agreement;
Interim Documents means any Interim Management Agreement, Interim Sublease, or any Multi-Party Agreement entered into as of or 30212588_4 5 subsequent to the Second Amendment Date with respect to a Facility and by and between any Tenant (and/or its management company affiliate), on the one hand, and the outgoing operator of such Facility, on the other hand, and pursuant to which (among other things) said Tenant (and/or its management company affiliate) agrees to (i) sublease the Facility to said outgoing operator on an interim basis for temporary licensing purposes, and/or (ii) manage the day-to-day operations of said Facility utilizing the outgoing operator’s operating license.”

  • If any provision of the Interim Documents is or becomes illegal, invalid or unenforceable in any jurisdiction that shall not affect the validity or enforceability in that jurisdiction of any other term of the Interim Documents or the validity or enforceability in other jurisdictions of that or any other term of the Interim Documents.

  • All payments made or to be made by an Obligor under the Interim Documents shall be paid in full without set-off or counterclaim.

  • Each Interim Finance Party will notify the Interim Facility Agent of, and provide the Interim Facility Agent with a copy of, any communication between that Interim Finance Party and an Obligor (or Affiliate of an Obligor) on any matter concerning the Interim Facilities or the Interim Documents.

  • If an Interim Finance Party fails to comply with its obligations under this paragraph (ii), until such time as that Interim Finance Party has complied with its obligations the Interim Facility Agent and each Obligor shall be entitled to treat such Interim Finance Party as not being entitled to receive all or any part of any payment made under the Interim Documents free from any deduction or withholding imposed under FATCA.

  • Each Charging Company shall ratify and confirm all things done and all documents executed by any attorney in the exercise or purported exercise of all or any of his powers, in each case except to the extent the attorney in its name is acting negligently, with wilful misconduct or in breach of law or the terms of the Interim Documents.

  • Other than as permitted by the Interim Documents, none of the rights and obligations of the Grantor under this Agreement shall be capable of being assigned or transferred.

  • No such pledge will release the relevant Interim Lender from its obligations under the Interim Documents.

  • Subject to the terms of the Interim Documents, the Interim Security Agent shall be entitled to disclose such information concerning the Grantor and this Agreement as the Interim Security Agent considers appropriate to any actual or proposed direct or indirect successor or to any person to whom information may be required to be disclosed by any applicable law.

Interim Documents means this letter and any other document designated as an “Interim Document” by the Arrangers and Bidco.

Related to Interim Documents

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Related Documents mean all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, security deeds, collateral mortgages, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Loan.

  • Operative Documents means the Purchase Agreement, the Indenture, the Trust Agreement, the Guarantee Agreement, the Notes and the Trust Securities.

  • Construction Documents means the plans, specifications, approved change orders, revisions, addenda and other information approved by the City, which set forth in detail the Work to be performed for a construction Project.

  • Bidding Documents means the set of Bidding Documents that preceded the placement of the Contract of which these GCC form a part, which were sold or issued by the Purchaser to potential Bidders, and in which the specifications, terms and conditions of the proposed procurement were prescribed.

  • Related Agreements shall have the meaning specified in the recitals to the Administration Agreement.

  • Bid Documents means all the documents issued by the Chief Procurement Officer, or referenced by the Chief Procurement Officer as being available on the City's website and incorporated by such reference, in connection with an invitation for bids or proposals. Except for such Bid Documents as are posted on the City's website and incorporated by reference, all Bid Documents must be submitted by a bidder on the Bid Opening Date.
