Intervening Event Notice definition

Intervening Event Notice has the meaning specified in Section 8.2(b).
Intervening Event Notice has the meaning set forth in Section 6.9(d)(ii).
Intervening Event Notice means a prior written notice of a Intervening Event delivered by Parent to the Company in accordance with Section 5.4(c)(vii).

  • If requested by Acquiror, the Company will, and will cause its Subsidiaries to, and will use its reasonable best efforts to cause its or their Representatives to, during the Intervening Event Notice Period, engage in good faith negotiations with Acquiror and its Representatives to make such adjustments in the terms and conditions of this Agreement so as to obviate the need for a Company Change in Recommendation.

Intervening Event Notice has the meaning ascribed thereto in Section 5.1(l)5.1(l);
