After the Closing Date, the Purchaser shall have the right to request the immediate termination, with no liability for past matters or from such termination or additional costs for the Target Companies, of any agreement (other than the Continuing Intra-Group Agreements) still in force between the Nordic Companies on the one hand and the entities of the P7S1 Group on the other hand after the Closing Date.
The Parties agree that provided such agreements are entered into in accordance in accordance with the requirements of Section 7.2, such agreements shall be treated as Continuing Intra-Group Agreements.
Neither the Company nor any of the dAF Consolidated Companies is a group company within the meaning of Article 2:24b Dutch Civil Code (groepsmaatschappij in de zin van artikel 2:24b BW) of any other company (other than the Company or any of the dAF-Consolidated Companies) and none of them is a party to any partnership agreement (v.o.f., c.v., maatschap or equivalent) (other than Intra-Group Agreements).
The Intra-Group Agreements shall be terminated upon Closing (as defined below) of the Transaction in accordance with clause 8.1.
The Sellers and the Purchasers (on behalf of the Target Group) undertake to negotiate in good faith and use reasonable best efforts to ensure that the Closing Intra-Group Agreements are agreed on the terms set out in the relevant definition and duly executed prior to the Closing Date.
