Investment Assets definition

Investment Assets means all debentures, notes and other evidences of Indebtedness, stocks, securities (including rights to purchase and securities convertible into or exchangeable for other securities), interests in joint ventures and general and limited partnerships, mortgage loans and other investment or portfolio assets owned of record or beneficially by the Company.
Investment Assets means any interest in any bonds, notes, debentures, mortgage loans, real estate, instruments of indebtedness, stocks, partnership or joint venture interests and all other equity interests, certificates issued by or interests in trusts, derivatives or other assets acquired for investment or hedging purposes.
Investment Assets has the meaning set forth in Section 4.12(a).

Examples of Investment Assets in a sentence

  • The Group Companies have good and valid title to, or otherwise have the right to use pursuant to a valid and enforceable lease, license or similar contractual arrangement, all of their assets (such real, personal, tangible and intangible assets that are not Investment Assets, collectively, the “Assets”), in each case free and clear of any Lien other than Permitted Liens.

  • The Investment Assets, including the composition of the Investment Assets and, since the Lookback Date, all transactions involving Investment Assets, have complied in all respects with, and the Group Companies have complied in all respects with, the Investment Guidelines.

  • The Assets and the Investment Assets will, as of the Closing, comprise all of the assets, rights, properties and services that are sufficient to permit Buyer and its Affiliates to operate the business of the Company immediately following the Closing Date in substantially the same manner, in all material respects, as the business of the Company is being operated as of the date hereof.


More Definitions of Investment Assets

Investment Assets shall have the meaning set forth in Section 3.17(a).
Investment Assets means all debentures, notes and other evidences of Indebtedness, stocks, securities (including rights to purchase and securities convertible into or exchangeable for other securities), interests in joint ventures and general and limited partnerships, mortgage loans and other investment or portfolio assets owned of record or beneficially by the Company (other than trade receivables generated in the ordinary course of business of the Company).
Investment Assets means bonds, notes, debentures, mortgage loans, collateral loans and all other instruments of indebtedness, stocks, partnership or joint venture interests and all other equity interests (including, but not limited to, equity interests in Subsidiaries or other Affiliates), real estate and leasehold and other interests therein, certificates issued by or interests in trusts, cash on hand and on deposit, personal property and interests therein and all other assets acquired for investment purposes.
Investment Assets means any interest in any cash, cash equivalents, money market fund instruments, bonds, notes, debentures, loans, advances or other extensions of credit, real estate, instruments of indebtedness, stocks, partnership or joint venture interests, and all other equity interests, certificates issued by or interests in trusts, derivatives or other hedging or similar agreements or arrangements (including interest rate, currency, commodity or other swaps, collars and caps), or other securities, derivatives or assets acquired or held for investment purposes.
Investment Assets means any investment assets (whether or not required by GAAP or SAP to be reflected on a balance sheet) beneficially owned (within the meaning of Rule 13d-3 under the Exchange Act) by any SALIC Group Company, including bonds, notes, debentures, mortgage loans, real estate and all other instruments of indebtedness, stocks, partnership or joint venture interests and all other equity interests, certificates issued by or interests in trusts, derivatives and all other assets acquired for investment purposes.
Investment Assets means investment assets owned by, or held in trust for the benefit of, the Acquired Companies or PICA, including bonds, notes, debentures, mortgage loans, collateral loans and all other instruments of indebtedness, stocks, partnership or joint venture interests and all other equity interests, certificates issued by or interests in trusts and derivatives.
Investment Assets means the securities obtained by a financial institution, an insurance company, a pension institution for the purpose of investment (as provided in § 11, Business Tax Act).
