Investment Banking Services definition
Investment Banking Services means all corporate advisory services with the exception of services directly relating to the execution of a transaction that is required to be executed or reported on-market;
Investment Banking Services means investment banking, financial advisory or any other services rendered by Carlyle to the Company in connection with any acquisitions and divestitures by the Company or any of its subsidiaries, including, without limitation, the sale of substantially all or any portion of the assets of the Company, whether by a sale of assets, the equity interests of the Company, merger or otherwise, and the acquisition or sale of any subsidiary, division or service area of the Company, or (iii) the public or private sale of debt or equity interests of the Company, or any of its affiliates or any similar financing transactions. The Oversight Services and the Investment Banking Services shall be referred to herein as the "Services."
Investment Banking Services means investment banking, financial advisory or any other services rendered by ▇▇▇▇▇ ▇▇▇▇▇▇ to the Company in connection with any acquisitions and divestitures by the Company or any of its subsidiaries, including, without limitation, the sale of substantially all or any portion of the assets of the Company, whether by a sale of assets, the equity interests of the Company, merger or otherwise, and the acquisition or sale of any subsidiary, division or service area of the Company, or (iii) the public or private sale of debt or equity interests of the Company, or any of its affiliates or any similar financing transactions. The Oversight Services and the Investment Banking Services shall be referred to herein as the "Services."

It is expressly agreed that the Oversight Services shall not include Investment Banking Services.
The scope of CRG Investment Banking Services shall include services rendered only outside of the United States and only to non-U.S. persons.

It is expressly agreed that the Management Services shall include Investment Banking Services.
The obligations of FirstCity under Section 3.1(a) hereof shall terminate upon the receipt by Lender of all amounts owed to it under the Credit Agreement and the termination of the Credit Agreement; the obligations of FirstCity under Section 3.1(b) hereof shall terminate upon the termination of the Investment Banking Services Agreement; all other obligations of FirstCity hereunder shall terminate on the later of the dates described in the two foregoing clauses.
More Definitions of Investment Banking Services
Investment Banking Services shall include, without limitation, (i) acting as sole managing underwriter, placement agent, or sole book runner for any and all future public or private equity, equity-linked or debt offerings undertaken by the Company, or any successor to the Company, and (ii) acting as initial purchaser in connection with any private offering of securities of the Company, or any successor to the Company. The Company shall provide written notice to the Representative with the terms of such offering and the Representative has seven (7) days following receipt of such notice to notify the Company of its intentions regarding the offering; and
Investment Banking Services means (i) investment banking, financial advisory, or any other services (the "Contribution Agreement Investment Banking Services") rendered by Carlyle to the Company in connection with the transactions contemplated by the Contribution Agreement dated February 23, 2002 by and among Specialtysemi, Inc., Conexant Systems, Inc., and Carlyle Capital Investors, L.L.C. (the "Contribution Agreement") and (ii) investment banking, financial advisory, or any other services (the "Other Investment Banking Services") rendered by Carlyle to the Company in the future. The Investment Banking Services together with the Oversight Services shall be referred to herein as the "Services."
Investment Banking Services means investment banking, financial advisory or any other services rendered by Carlyle to the Company in connection with (i) the acquisition by United Components, Inc., a Delaware corporation (“UCI”), and certain of its affiliates of the Business (as such term is defined in the Purchase Agreement) pursuant to that certain Purchase Agreement, dated as of April 25, 2003, by and among UCI and the Seller identified therein (the “Acquisition Transaction”), (ii) any acquisitions and divestitures by the Company or any of its subsidiaries, including, without limitation, the sale of substantially all of the assets of the Company, whether by a sale of assets, the equity interests of the Company, merger or otherwise, and the acquisition or sale of any subsidiary or division of the Company, or (iii) the public or private sale of debt or equity interests of the Company, or any of its affiliates or any similar financing transactions. Investment Banking Services means investment banking, financial advisory or any other services rendered by Carlyle to the Company in connection with (i) any acquisitions and divestitures by the Company or MPI Holdings, L.L.C., a Delaware limited liability company ("MPP'), or any of their subsidiaries, whether by a purchase or sale of assets or capital stock or by merger, recapitalization, consolidation or otherwise or (ii) the public or private sale of debt or equity securities of the Company or its subsidiaries or any similar financing. The Investment Banking Services and the Oversight Services shall be referred to herein together as the "Carlyle Services".
Investment Banking Services means investment banking, financial advisory or any other services rendered by Carlyle to the Company in connection with (i) the transactions contemplated by that certain Agreement, dated as of July 5, 2004, by and among the Company, the Managers, Meggitt Acquisition Limited and the Vendors identified therein (the “Acquisition Transaction”), (ii) any acquisitions and divestitures by the Company or any of its subsidiaries, including, without limitation, the sale of substantially all of the assets of the Company, whether by a sale of assets, the equity interests of the Company, merger or otherwise, and the acquisition or sale of any subsidiary or division of the Company, or (iii) the public or private sale of debt or equity interests of the Company, or any of its affiliates or any similar financing transactions. The Oversight Services and the Investment Banking Services shall be referred to herein as the “Services.”
Investment Banking Services means investment banking, financial advisory or any other services rendered by Carlyle to the Company or UDI in connection with (i) the acquisition by UDI and its subsidiaries of all of the outstanding partnership interests of the Company pursuant to that certain Purchase Agreement, dated as of August 25, 1997, by and between FMC Corporation, Harsco Corporation, Harsco UDLP Corporation and UDI and the financing thereof (together, the "ACQUISITION TRANSACTIONS"), (ii) any acquisitions and divestitures by the Company or UDI or any of their subsidiaries, including, without limitation, the sale of substantially all of the assets of the Company, whether by a sale of assets, the capital stock of UDI, merger or otherwise, and the acquisition or sale of any subsidiary or division of UDI or the Company, or (iii) the public or private sale of debt or equity securities of the Company or UDI or any similar financing transactions. "MANAGEMENT EQUITY CONSULTING SERVICES" means consulting services performed by Carlyle in connection with the structuring and implementation of an executive stock option plan or similar equity plan, an employee stock purchase or equity purchase plan and employment agreements for certain key executives of UDI and UDLP. The Investment Banking Services and the Management Equity Consulting Services shall be referred to herein as "ADDITIONAL SERVICES," and together with the Oversight Services, the "SERVICES."
