Investment Collateral definition

Investment Collateral has the meaning set forth in Section 2.01(d).

Investment Collateral means, all “investment property,” as such term is used in the UCC, of the Company and, in any event, shall include, without limitation, (i) the Designated Account, (ii) all financial assets, cash, checks, drafts, securities and instruments deposited or held or required to be deposited or held in the Designated Account and all security entitlements relating thereto, (iii) all investments and all certificates and instruments, if any, from time to time representing or evidencing any other property from time to time received, receivable or otherwise distributed in respect of or in exchange for any or all of the foregoing items listed in clauses (i) and (ii) of this definition and (iv) each consent, control or other agreement, including, without limitation, this Control Agreement, entered into by the Company with the Securities Intermediary and all rights, if any, and interests of the Company in, to and under each such consent, control or other agreement; provided, however, that Investment Collateral shall in no event include the Securities Collateral.

Investment Collateral shall have the meaning set forth in Section 7.1 hereof.

Examples of Investment Collateral in a sentence

• Any Certificated Security or Instrument evidencing the Pledged Stock, the Pledged Debt, the Pledged Beneficial Interests, the Pledged Membership Interests and any Investment Collateral have been delivered to the Collateral Agent in accordance with Section 2.05 and 2.07.

• You are hereby instructed not to accept any direction, instruction or entitlement order with respect to Investment Collateral maintained in the Specified Designated Accounts or the financial assets constituting Investment Property credited thereto from any Person other than the undersigned, unless otherwise ordered by a court of competent jurisdiction.

• Until the termination of this Control Agreement the Securities Intermediary will not, without the written approval of the Administrative Agent, enter into any agreement with any Person pursuant to which it agrees to comply with entitlement orders with respect to Investment Collateral.

• If any Person asserts any lien, encumbrance or adverse claim (including any writ, garnishment, judgment, warrant of attachment, execution or similar process and any claim of “control”) against any of the Investment Collateral or in any financial asset carried in any Designated Account constituting Investment Property, the Securities Intermediary will promptly notify the Administrative Agent and the Company thereof.

• The obligations of the Securities Intermediary hereunder shall continue in effect until the security interests of the Secured Parties with respect to the Investment Collateral and other Investment Property have been terminated and an Authorized Representative has notified the Securities Intermediary of such termination in writing.

More Definitions of Investment Collateral

Investment Collateral means the cash, securities, investments and other collateral listed in ýSchedule 4, being acceptable as collateral cover to the extent indicated by the applicable advance rate specified therein, which is held with the Custodian in a Collateral Account and which is capable of being marked to market on a daily basis;

Investment Collateral means, in connection with the Bonds and the Bond Documents, as defined in the Reimbursement Agreement described in the Security Agreement (i) any free credit balance or other money, now or hereafter credited to, or owing from any Securities Intermediary to the Company, (ii) any commodity contracts, securities (certificated or uncertificated), Instruments, Documents, Financial Assets or other Investment Property distributed from any Securities Account now or in the future, (iii) all the proceeds of the sale, exchange, redemption or exercise of any of the foregoing, including, but not limited to, any dividend, interest payment or other distribution of cash or property in respect of any of the foregoing, (iv) any rights incidental to the ownership of any of the foregoing, such as voting, conversion and registration rights and rights of recovery for violation of applicable securities laws and (v) all books and records relating to any of the foregoing.

Investment Collateral means money, cash and cash equivalents, cash proceeds, securities, security entitlements and other investment property, deposit accounts, securities accounts and other similar collateral.

Investment Collateral has the meaning set forth in Section 2.01(d). “Membership Interest Collateral” has the meaning specified in Section 2.01(b).

Investment Collateral means, all Investment Property of the Pledgor and, in any event, shall include, without limitation, (i) the Designated Account, (ii) all Investment Property, cash, cheques, drafts, securities and instruments deposited or held or required to be deposited or held in the Designated Account, (iii) all investments and all certificates and instruments, if any, from time to time representing or evidencing any other property from time to time received, receivable or otherwise distributed in respect of or in exchange for any or all of the foregoing items listed in clauses (i) and (ii) of this definition and (iv) each consent, control or other agreement, including, without limitation, this Control Agreement, entered into by the Pledgor with the Securities Intermediary and all rights, if any, and interests of the Pledgor in, to and under each such consent, control or other agreement; provided, however, that Investment Collateral shall in no event include the Investment Property.

Investment Collateral means the Pledged Share, including all shares, options, warrants, bonds, debentures, and other instruments, all present and future options and warrants, in each case issued to Pledgor in connection therewith and all other rights and entitlements arising therefrom or related thereto, and including without limitation all substitutions for any of the foregoing and dividends derived therefrom or payable in connection therewith. For greater certainty, in the event that the AdvEn Shares are exchanged for shares in the authorized capital of Nano Innovations Inc., the Investment Collateral will be deemed to include all of the securities which are exchanged for the AdvEn Shares.
