If the Advisor is ordered to take any such action by the Board, the Advisor shall notify the Board if it is the Advisor's reasonable judgment that such action is not in compliance with the Investment Guidelines, or would adversely and materially affect such status or violate any such law, rule or regulation or the Charter or Bylaws.
Except as otherwise set forth herein, in the Investment Guidelines or in the Charter, any investment that fits within the Investment Guidelines may be made by the Advisor on the Company's behalf without the prior approval of the Board or any duly authorized committee of the Board.
