For the avoidance of doubt, but subject in all cases to Section 3.7, no direct or indirect Transfer of any equity interests in DPL or Investor, as applicable, shall be subject to any transfer restrictions under this Agreement, including those set forth in Section 3.3, Section 3.4 and Section 3.5, unless such Transfer results in a DPL Change of Control or an Investor Shareholder Change of Control, as applicable.
