The Seller Parties shall procure that HPD has all necessary power and authority to enter into the IP License Agreement, to carry out its obligations thereunder, and the execution and delivery by HPD of the IP License Agreement and the performance by HPD of its obligations thereunder, have been duly authorized by all requisite corporate, limited liability company or other action on the part of HPD.
