IPO Entity definition

IPO Entity means, at any time at and after an IPO, the Borrower or a parent entity of the Borrower, as the case may be, the Equity Interests in which were issued or otherwise sold pursuant to the IPO.

  • In determining Fair Market Value, (i) the offering price of the Initial Public Offering shall be used by the Board to determine the Fair Market Value of the capital stock or other equity interests of the IPO Entity and (ii) the Distributions that the Members would have received with respect to their Units if the Company were dissolved, its affairs wound up and Distributions made to the Members in accordance with Section 13.3(c) shall determine the Fair Market Value of the Units.

  • In addition, any Units to be converted into or redeemed or exchanged for shares of the IPO Entity shall receive shares of voting common stock with substantially equivalent economic, priority and other rights and privileges as in effect immediately prior to such transaction (disregarding the tax treatment of such transaction).

  • In order for a Blackstone Entity or a Co-Investor (after the expiration of the Coordination Period) to exercise its right to demand that a registration statement be filed, it must so notify the IPO Entity in writing indicating the number of Registrable Securities sought to be registered and the proposed plan of distribution.
