Israeli Security Documents means the Israeli Floating Charge Debenture, Israeli Borrower Trademarks Fixed Charge Pledge, Israeli IP Hold-Co Fixed Charge Pledge, Israeli Share Pledge, Israeli Second Amendment Floating Charge Debenture, Israeli Second Amendment Borrower Trademarks Fixed Charge Pledge, Israeli Second Amendment IP Hold-Co Fixed Charge Pledge, the Israeli Second Amendment Share Pledge, Israeli 2023 Floating Charge Debenture, Israeli 2023 Borrower Trademarks Fixed Charge Pledge, Israeli 2023 IP Hold-Co Fixed Charge Pledge, Israeli 2023 Share Pledge, and any other Israeli law governed Collateral Documents entered into from time to time.

The transactions contemplated under this Agreement, the Israeli Security Documents and any other Loan Document (including the realization of the Charged Assets) are not subject to any right and do not require the approval of the IIA or Investment Center or the Binational Industrial Research and Development Foundation or any other governmental authority.

Israeli Security Documents means, collectively, the Israeli Floating Charge, the Israeli Fixed Charge, all in favor of the Agent, and any other Israeli law governed security document entered into from time to time, each as amended, restated, supplemented or otherwise modified from time to time.
Israeli Security Documents means (a) the New York law governed (i) joinder to the Guarantee Agreement and (ii) joinder to the Initial Closing Date Pari Passu Intercreditor Agreement and (b) the Israeli law governed (i) floating charge debentures over all of the assets (both present and future) of each of the Israeli Loan Parties to be entered into by each of the Israeli Loan Parties and the Administrative Agent, (ii) fixed charge debentures over all registered intellectual property of each of the Israeli Loan Parties, and with respect to the Equity Interest in Meridian Bioscience Israel Ltd. to be entered into by Meridian Bioscience Israel Holding Ltd. and the Administrative Agent; (iii) share charge agreement with respect to the Equity Interest in Meridian Bioscience Israel Holding Ltd., to be entered into by Meridian Bioscience International Limited and the Administrative Agent, and (iv) any other document governed by the laws of Israel and designated as an Israeli Security Document for the purpose of this Agreement, entered into from time to time as agreed between the parties hereto granting a Lien upon the Collateral of an Israeli Loan Party or in respect of Equity Interests in an Israeli Loan Party required as security for payment of the Obligations pursuant to the terms hereof or any other Loan Document.

Israeli Security Documents means such agreements, documents and instruments as the Lender may reasonably require in order to (i) create a fixed charge over the "Final Recovery Diamonds" as defined in the Cooperation Agreement while they are located in the State of Israel and (ii) ensure that Penford is bound to recognize and give effect to Laurelton’s prior rights to the "Final Recovery Diamonds" as defined in the Cooperation Agreement.
