Israeli Security Documents definition

Israeli Security Documents means the Israeli Floating Charge Debenture, Israeli Borrower Trademarks Fixed Charge Pledge, Israeli IP Hold-Co Fixed Charge Pledge and the Israeli Share Pledge and any other Israeli law governed Collateral Documents entered into from time to time.

Israeli Security Documents means the Israeli Fixed Charge Pledge and any other Israeli law governed Collateral Documents entered into from time to time.

Israeli Security Documents means (a) the New York Law governed (i) joinder to the Guarantee Agreement and (ii) joinder to the Closing Date Pari Passu Intercreditor Agreement and (b) the Israeli law governed (i) floating charge debentures over all of the assets (both present and future) of each of the Israeli Loan Parties to be entered into by each of the Israeli Loan Parties and the Administrative Agent, (ii) fixed charge debentures over all registered intellectual property of each of the Israeli Loan Parties, and with respect to the Equity Interest in Meridian Bioscience Israel Ltd. to be entered into by Meridian Bioscience Israel Holding Ltd. and the Administrative Agent; (iii) share charge agreement with respect to the Equity Interest in Meridian Bioscience Israel Holding Ltd., to be entered into by Meridian Bioscience International Limited and the Administrative Agent, and (iv) any other document governed by the laws of Israel and designated as an Israeli Security Document for the purpose of this Agreement, entered into from time to time as agreed between the parties hereto granting a Lien upon the Collateral of an Israeli Loan Party or in respect of Equity Interests in an Israeli Loan Party required as security for payment of the Obligations pursuant to the terms hereof or any other Loan Document.

Israeli Security Documents shall have the meaning ascribed thereto under Section ‎3.2.1 below.
Israeli Security Documents means, collectively, (i) the first ranking Fixed Charge Agreement, dated as of the date hereof (as amended, amended and restated or supplemented from time to time), between Israeli Loan Party and the ISR Collateral Agent, (ii) the first ranking Fixed Charge Agreement, dated on or about the Third Amendment Effective Date (as amended, amended and restated or supplemented from time to time), between Israeli Loan Party and the ISR Collateral Agent (the “New Israeli Fixed Charge”), (iii) the first ranking Floating Charge Agreement, dated as of the date hereof (as amended, amended and restated or supplemented from time to time), between Israeli Loan Party and the ISR Collateral Agent, (iv) solely with respect to the pledge of Borrower’s Equity Interests in the applicable Israeli Loan Party, this Agreement, (v) solely in connection with Borrower Representative’s registered patents and patent applications in Israel, including but not limited to patents 247238, 224022, 217375 and 210097 and patent applications 288402, 283039 and 290854 (to the extent of its interest therein, the Pledge and Security Agreement, and (vi) the forms required to be submitted to the Israeli Registrar of Companies, the Israeli Registrar of Pledges, the Israeli Patent Office and any other Israeli Governmental Authority in connection therewith, any other collateral security document entered into by an Israeli Loan Party or any other Loan Party from time to time with respect to the Obligations, and any other agreements, documents or certificates delivered pursuant thereto, in each case, as amended, restated, supplemented or otherwise modified from time to time.
Israeli Security Documents means the Israeli Fixed and Floating Charge Debenture. “Issuers” has the meaning assigned to such term in the preamble.
