The Company plans to list the Issued Shares (and other ordinary shares of the Company) on TASE-UP (“TASE-UP”), a new electronic platform, designed by Tel-Aviv Stock Exchange (“TASE”) to allow trading of private companies’ securities (including shares) by institutional and accredited investors.
The Issued Shares, when issued and allotted and paid for in accordance with this Agreement, will be duly authorized, validly issued, fully paid, non-assessable, free and clear of any liens, claims, encumbrances or third party rights of any kind other than as set forth in this Agreement or in the Articles and will be duly registered in the name of the relevant Investor in the Company's shareholders register.
The Issued Shares to be purchased by the Investor will be acquired by it for investment for the Investor's own account and not with a view to the immediate distribution or resale thereof.
If any Investor transfer its portion of the Investment Amount to the Company in US dollar, such investment shall be converted for purpose of determining the Price Per Share of the Issued Shares in NIS based on the Exchange Rate.
The issue and sale of the Issued Shares to each Investor hereunder is made as part of an aggregate investment contemplated by the Company of no less than US$5,000,000 (converted to NIS16,250,000 for the purpose of this Agreement according to the Exchange Rate) (the "Minimum Round Amount”) and up to NIS US$18,000,000 (converted to NIS58,500,000 for the purpose of this Agreement according to the Exchange Rate) (the "Maximum Round Amount”) to occur until June 21 2021 .
