Issuing and Paying Agent definition

Issuing and Paying Agent means the party designated as such on the cover page of this Agreement, as issuing and paying agent under the Issuing and Paying Agency Agreement, or any successor thereto in accordance with the Issuing and Paying Agency Agreement.

Issuing and Paying Agent means any entity and any successor or replacement thereto, as specified in the Final Terms for each Series of ETP Securities, appointed as Issuing and Paying Agent.

• The Issuer shall, in accordance with the procedures set out in the Operating Procedures Agreement (if applicable), transfer any applicable Redemption Amount and interest payments due on the ETP Securities to the Issuing and Paying Agent.

• The Replacement Agent shall cancel and, unless otherwise instructed by the Issuer, destroy any mutilated or defaced ETP Securities replaced by it and shall send the Issuer, the Trustee and the Issuing and Paying Agent a certificate giving the information specified in Clause 6.3.

• In delivering any Global Security in accordance with Clause 3.4.1, the Issuing and Paying Agent shall give instructions to the Relevant Clearing System to hold the ETP Securities represented by it to the order of the Issuing and Paying Agent pending transfer to the securities account(s) referred to in Clause 3.4.1. Upon payment for any such ETP Securities being made to the Issuing and Paying Agent, it shall transfer such payment to the account of the Issuer notified to it by the Issuer.
