Issuing and Paying Agent definition

Issuing and Paying Agent means the party designated as such on the cover page of this Agreement, as issuing and paying agent under the Issuing and Paying Agency Agreement, or any successor thereto in accordance with the Issuing and Paying Agency Agreement.

Issuing and Paying Agent means any entity and any successor or replacement thereto, as specified in the Final Terms for each Series of ETP Securities, appointed as Issuing and Paying Agent.

Examples of Issuing and Paying Agent in a sentence

• On or after the Interest Payment Date for the final Coupon forming part of a Coupon sheet issued in respect of any Bearer Note, the Talon forming part of such Coupon sheet may be surrendered at the specified office of the Issuing and Paying Agent in exchange for a further Coupon sheet (and if necessary another Talon for a further Coupon sheet) (but excluding any Coupons that may have become void pursuant to Condition 9).

• Such Notes may be held, resold or surrendered to the Issuing and Paying Agent for cancellation.

• The Issuing and Paying Agent, the Paying Agents, the Registrar, the Transfer Agents and the Calculation Agent initially appointed by the Issuer and their respective specified offices are listed below.

• The Trustee initially shall act as Security Registrar, Transfer Agent, and Issuing and Paying Agent in connection with the Notes.

• Any such ETP Securityholder Notice and Direction must be substantially in the form set out in the Elavon Agency Agreement which is available from the Issuing and Paying Agent, any Paying Agent and/or the Trustee.

More Definitions of Issuing and Paying Agent
