Accordingly, the Joining Party hereby acknowledges, agrees and confirms that, by its execution of this Joinder Agreement, the Joining Party will be deemed to be a party to the Stockholder Agreement and shall have all of the obligations of a Stockholder and a holder of Common Stock thereunder as if it had executed the Stockholder Agreement.
The Company shall not issue or sell after the date hereof, any Shares to any Person without such Person becoming a party to this Agreement by execution and delivery of a Joinder Agreement.
