The undersigned acknowledges that the undersigned’s obligations as a party to this Joinder are unconditional and are not subject to the execution of one or more Joinders by other parties.
Each of the Joinders and the Intercreditor Agreements will, as of the Closing Date, be duly and validly authorized by the Issuer and each of the Guarantors party thereto and, when executed and delivered by the Issuer and each of the other parties thereto, will be the legal, valid and binding agreement of the Issuer and each of the Guarantors party thereto, enforceable against each of them in accordance with their terms, subject to the Enforceability Exceptions.
