RTP shall procure that no voting rights for the time being attaching to any RTL Ordinary Shares beneficially owned by any member of the RTP Group are exercised on any resolution put to a shareholders meeting of RTL except a resolution approving a Joint Decision or a procedural resolution at a meeting at which a Joint Decision Matter is considered.
If a matter requires a Joint Decision, each party shall do all such acts and things as may be necessary to ensure that the relevant annual or extraordinary general meetings, as appropriate, are held on the same day, or as closely in time to each other as practicable (taking into account the fact that some or all of the directors of RTL and RTP may wish to attend both meetings).
The arrangements set out in SCHEDULE 2 will remain in operation until / unless a Joint Decision Body is established.
In the event that the JDMC shall not be able to reach a decision or take an action on any matter referred by a committee, any Joint Decision or any other matter which is reserved to the JDMC or the Accounting and Finance Committee or any other committee delegated decision-making authority by the JDMC hereunder, then such Joint Decisions or such other unresolved matters shall first be referred for resolution to the Chief Executive Officer of each Party for attempted resolution by good faith negotiation.
The Members agree that notwithstanding anything to the contrary contained in the Operating Agreement, as amended herein, and to the extent not otherwise prohibited, neither Member is permitted to act unilaterally with respect to the following, which shall be a Joint Decision effective the date of this Third Amendment, and added as (v) to Exhibit “E” of the Operating Agreement.
