Jointly Developed Technology definition

Jointly Developed Technology means Technology that is written, created, or otherwise made or acquired not solely by one or more employees of one Party but is created jointly by employees or contractors of Company together with employees or contractors of Foundry during and in the course of the transactions contemplated by this Agreement provided that: (a) with respect to copyrightable material, each contributing Party prepared the work with the intention that their contributions be merged into inseparable or interdependent parts of a unitary whole; (b) with respect to inventions subject to patent protection, each contributing Party made some original contribution to the inventive thought and to the final solution; and (c) with respect to matter subject to trade secret protection, each contributing Party made substantial contributions to such matter.
Jointly Developed Technology means Technology that is conceived by at least one employee, agent or contractor of each of the Parties.
Jointly Developed Technology means all technology jointly developed by two or more Contributing Parties pursuant to this Agreement.

  • Any and all rights with respect to the ownership, pricing and exploitation of Jointly Developed Technology shall be reserved solely to Contributing Parties.

  • The Responsible Party shall diligently prosecute and maintain, using commercially reasonable practices, patent applications and patents with respect to Jointly Developed Technology for which it is responsible, and promptly provide the other party with copies of all relevant documentation with respect thereto.

  • During the term of this Agreement, each Contributing Party covenants not to use or license the Jointly Developed Technology without the prior written consent of the other Contributing Party(ies).

More Definitions of Jointly Developed Technology

Jointly Developed Technology means all inventions conceived or reduced to practice during the term of the Engineering Agreement and this Agreement (including any extensions or renewals thereof) where the inventors include one or more employees of HOKU and one or more employees of NISSAN. All Jointly Developed Technology shall be documented by both a HOKU and NISSAN engineer in a joint lab book (labeled “Project Unity: Work Towards Jointly Developed Technology”) and signed and dated by both persons.
