Key Consultant definition

Key Consultant means a person who is engaged by Roaming Messenger, Inc. or its Subsidiaries as a non-employee to perform tasks on a contractual basis over a sufficient period of time that he or she satisfies the eligibility criteria set forth by the Securities and Exchange Commission for a non-employee to participate in a registered stock option plan.
Key Consultant has the meaning set forth in the recitals.
Key Consultant means an individual (other than a Key Employee) who is a consultant, agent, or other person engaged by an Employer to render services to, or on behalf of such Employer.

  • Section 1.5.3 of the Standard Form shall not apply to services to be performed by the Key Consultant.

  • Within the past three (3) years, no Key Consultant has canceled or advised either of the Companies of any intention to cancel its relationship with either of the Companies.

  • There are no pending, or to the Companies’ Knowledge, threatened, disputes, and neither of the Companies has received any written notices of dissatisfaction, with or from any Key Consultant.

  • In addition to the Key Consultant, XXXXXXXXX shall be of the essence of this Agreement and shall inform himself of, and be knowledgeable about, the progress of the Project at all times.
