Key Man Event definition

Key Man Event means any two of (i) Xxxxx Xxxxxxxxx, (ii) Xxxxx Xxxxxxxx and (iii) Xxxxxx Xxxxxxxx shall cease to be employed by the Originator in the capacity as executive officers thereof.

Key Man Event means (i) the failure to have at least two Approved Officers serving in the capacity of executive officers of the Originator and actively involved in the operation of the Originator and (ii) such failure shall have continued for 180 consecutive days or more.

Key Man Event shall have the meaning set forth in Section 12.

• If a Key Man Event occurs before 13 October 2021 (i) the Company will notify Members as soon as practicable in accordance with Article 55 and (ii) the Company will be wound up pursuant to and in accordance with Article 56, unless a resolution of the Members is passed in accordance with and pursuant to Article 30.9.

• However, such period may not start earlier than upon the occurrence of the Change of Control Event, Key Man Event or Listing Failure Event.

• Upon the occurrence of a Change of Control Event, Key Man Event or Listing Failure Event, each Bondholder shall have the right to request that all, or some only, of its Bonds be repurchased at a price per Bond equal to 101 per cent.

More Definitions of Key Man Event

Key Man Event means the occurrence of either (i) none of Xxxxx Xxxxxxxxx, Xxxxx Xxxxxxxx or Xxxxx A. R. Xxxxxx are servicing as executive officers of the Originator or (ii) less than two Approved Officers are serving as executive officers of the Originator and, in each such case, such failure of such designated Person to serve as executive officers of the Originator shall have continued for 180 days or more.

Key Man Event means (i) the death, Disability or retirement of Xxxxxx X. Xxxx, or (ii) the occurrence of any other circumstance in which Xxxxxx X. Xxxx is no longer (a) directing the investment program of Third Point or (b) actively involved in the day-to-day management of Third Point.

Key Man Event has the meaning set forth in Section 2.03.

Key Man Event means Mr. Francisco Xxxxxx Xxxxxxxx Xxxx and/or Xx. Xxxx Xxxxxx Tirado Xxxxxx no longer being actively involved on a full-time basis in the business and affairs of the Target because of their respective death, incapacitation, resignation, illness, retirement or termination for cause. If a Key Man Event (other than a Key Man Event resulting from death or incapacitation) occurs, the Board shall have additional governance rights on terms to be agreed in the Shareholders Agreement.

Key Man Event has the meaning given in Paragraph 8(c).

Key Man Event means (i) the Founder becoming Incapacitated or ceasing to devote substantially all of his business time and efforts to managing the affairs of the Partnership and the Partnership Business, (ii) any willful misconduct by the Founder which has had, or would reasonably be expected to have, an adverse effect in any material respect on the Founder’s ability to function as an employee of the Partnership or, following the Closing, the Acquirer or Argon HoldCo (taking into account the services required of the Founder), or on the business or reputation of the Partnership, or, following the Closing, the Acquiror or Argon HoldCo, or (iii) an event that would constitute “Cause” as such term is defined in the Partner Agreement of the Founder (assuming for this purpose that such agreement was effective in all respects and all references to “New LP” in such agreement referred to the Partnership instead).

Key Man Event. Means the occurrence of any one of the following events: at least two of Crit DxXxxx, Mxxxx Xxxxxx and Dxxx Xxxxxxx (i) are not employed in a senior management position at LEAF Commercial Capital (ii) are not involved in the day-to-day operations of LEAF Commercial Capital, or (iii) are not able to perform substantially all of their duties as an employee of LEAF Commercial Capital during any three month period, and, in each case, have not been replaced by persons approved by the Control Party in writing within one hundred eighty (180) days of any such event.
