KKR Shares definition

KKR Shares means Class E Shares, Class F Shares, Class G Shares, Class H Shares and any other Class of Shares designated by the Board of Directors as “KKR Shares”.

KKR Shares. As of any date of determination, the shares of Common Stock then held by the KKR Holders.

KKR Shares has the meaning set forth in the Company’s Governing Agreements.

• A KKR Member that shall have all of such KKR Member’s KKR Shares redeemed by the Company shall cease to be a KKR Member and shall no longer have any of the rights or privileges of a KKR Member.

• Notwithstanding anything in this Agreement but subject to the Act and any applicable limitations set forth in the Share Repurchase Plan or the Repurchase Arrangement, the Company is hereby authorized to redeem all or any portion of the KKR Shares upon such terms and conditions as the Company and the applicable KKR Member may agree from time to time without the consent of any other Person.

• The provision of this Agreement, including the provisions of this sentence, may be amended, modified or supplemented only by a written instrument executed by holders of (i) at least a majority of the KKR Shares, (ii) Oaktree and (iii) the Company.

• This Agreement shall not be assignable by the parties hereto, except to any Person who in connection with a transfer of KKR Shares is required by this Agreement, in connection with such transfer, to agree to be bound by the provisions of this Agreement.

• Karsh, or in the event that both Xx. Xxxxxx and Xx. Xxxxx are not affiliated with Oaktree or are permanently disabled, another individual selected by Oaktree who is reasonably acceptable to the Company and the KKR Holder, shall (i) be nominated by the Company for election to the Board and (ii) have the KKR Shares voted in favor of his election to the Board, until such time as this Agreement terminates in accordance with its terms.

KKR Shares means the shares of Common Stock received in exchange on the date hereof pursuant to the Contribution Agreement by MedCath 1998 LLC ("KKR Fund").

KKR Shares means shares of Common Stock (or any securities issued or issuable with respect to such Common Stock by way of conversion, exchange, stock dividend or stock split or in connection with a combination of shares, recapitalization, merger, consolidation or other reorganization or otherwise) which were Beneficially Owned on the date of this Agreement by KKR Associates, L.P., KKR Partners II, L.P. or Petroleum Associates, L.P. and reflected as so Beneficially Owned in the Schedules 13G filed by such Persons with the SEC on February 14, 1997 (the "KKR Shares"), provided that such shares or securities shall cease to be KKR Shares at such time as such shares or securities are sold in a public offering or in a brokers' transaction pursuant to Rule 144 under the Securities Act.
