Knowledge of Buyer definition

Knowledge of Buyer. Means the actual knowledge of Xxxxxxx Xxxxxx.
Knowledge of Buyer means (a) the actual knowledge of Xxxxxxx XxXxxxxx or Xxxxxxx Xxxxxxx, and (b) the knowledge that any such person referenced in clause (a) above, as a prudent business person, would have obtained after making due inquiry with respect to the particular matter in question.
Knowledge of Buyer means, with respect to any matter in question, the actual knowledge of each individual set forth in Section 1.1(b) of the Buyer Disclosure Letter.

  • Additionally, (i) there is no labor strike, material slowdown or material work stoppage or lockout pending or, to the Knowledge of Buyer, threatened in writing against or affecting Buyer or any of its Subsidiaries; and (ii) there is no material representation claim or petition pending before any applicable Governmental Authority.

More Definitions of Knowledge of Buyer

Knowledge of Buyer means the knowledge, after due inquiry, of those individuals set forth on Section 1.1(a) of the Buyer Disclosure Schedule.
Knowledge of Buyer means the actual knowledge of the chief executive officer of Buyer, after reasonable inquiry.
