Knowledge of Buyers definition

Knowledge of Buyers or “Buyers’ Knowledge” (or a similar phrase) means the actual, conscious knowledge of the individuals listed on Schedule 1.1.B with respect to the matters specified for such individuals on Schedule 1.1.B.

Knowledge of Buyers means the actual knowledge of Xxxxxxxxx Xxxxxxxx, Xxxxxx Xxxxxx, Xxxxxx Xxxxx, Xxx Xxxxxx, Xxxxx Xxxxxxx and Xxxx Xxxxxxxxx, after reasonable inquiry.

Knowledge of Buyers or “Buyers’ Knowledge” or any other similar knowledge qualification, means the actual knowledge of those persons listed on Section 1.01(b) of the Buyer Disclosure Schedule.

• There is no claim, litigation, arbitration or proceeding pending or, to the Knowledge of Buyers, threatened, before or by any court, Governmental Authority or arbitrator relating to Buyers that seeks to enjoin or prohibit, or that could hinder or impair, Buyers’ performance of their obligations under this Agreement.

• To the Knowledge of Buyers, Seller has not breached any representation, warranty or covenant of Seller under this Agreement.

• To the Knowledge of Buyers, the XCel Reports constitute all of the material documents required to be filed by the XCel with the SEC, including, without limitation, under Section 13 or subsections (a) or (c) of Section 14 of the Exchange Act, from its formation through the Closing Date.

• There is no Proceeding pending or, to the Knowledge of Buyers or any Buyer Party, threatened against Buyers or any Buyer Party that challenges, or may have the effect of preventing, delaying, making illegal or otherwise interfering with, the execution of this Agreement or the consummation of any of the Contemplated Transactions.
