Knowledge of Seller definition

Knowledge of Seller means, as to a particular matter, the current actual knowledge of the following people: Xxxxxxx Xxx; Xxxxxxx Soon-Shiong; Xxxx Xxxx; Xxx Xxxxx; Xxxxx Xxxxxxx; Xxxxx Xxxxxxxxx; Xxxxxxx Xxxx; and Xxxx Leader.

Knowledge of Seller or “Seller’s Knowledge” or a similar phrase means, with respect to any matter, the actual knowledge of the members, officers or managers of Seller or the Principal Owners, or facts regarding such matter which reasonably should have been known by such persons after making a diligent inquiry with respect to such matter;

Knowledge of Seller means the knowledge of any executive officer or director of Seller. For purposes of this Agreement, any such individual shall be deemed to have knowledge of a particular fact or other matter if such individual (i) is actually aware of such fact or other matter, (ii) a prudent individual could be expected to discover or otherwise become aware of such fact or other matter after reasonable investigation or (iii) would have discovered such fact in the normal course of his or her duties. “Known to Seller” has the correlative meaning.

Examples of Knowledge of Seller in a sentence

• To the Knowledge of Seller, none of the Companies and GMMV has exported, re-exported or transferred any goods, software or technology in violation of applicable U.S. export control laws and regulations, such as the Export Administration Regulations (15 CFR 730-774), within the last five years.

• No written notice has been received from any Governmental Entity or third Person and, to the Knowledge of Seller, there is no claim from any Governmental Entity or third Person pending against the Companies or GMMV with respect to any planned expropriation or condemnation of any Mineral and Real Properties.

• To the Knowledge of Seller, each such insurance policy is in full force and effect and none of the Companies or GMMV is in material default with respect to its obligations under any such insurance policy.

• Since January 1, 2020, each Company has been in compliance in all material respects with all terms and conditions of the Project Permits held by it, and there are no Legal Proceedings pending or, to the Knowledge of Seller, threatened, seeking the revocation, cancellation, suspension or adverse modification thereof, except as would not, in the aggregate, reasonably be expected have a Material Adverse Effect.

• To the Knowledge of Seller, no event has occurred that, with or without notice, lapse of time or both, would reasonably be expected to result in the revocation, suspension, lapse or limitation of any Project Permit for the operations of the Project as it is currently operated.

More Definitions of Knowledge of Seller

Knowledge of Seller means the actual knowledge, after reasonable inquiry, of the individuals set forth in Section 1.1(a) of the Disclosure Schedules.

Knowledge of Seller or “Seller’s Knowledge” or any other similar knowledge qualification, means the actual or constructive knowledge of each of Jxxxxx Xxx, Kxxxx Xxxxxxx, Nxxx Xxxxxxx, Bxxxx Xxxxxx, and Bxxxx Xxxxxx, after due inquiry.

Knowledge of Seller means the actual knowledge of any of the individuals listed on Section 1.01(c) of the Disclosure Schedules, in each case, after due inquiry of such named individual’s files and records and of those employees of Seller who are such named individuals’ direct reports.

Knowledge of Seller. “Seller’s knowledge” or any other similar knowledge qualification in this Agreement means to the actual knowledge of the Persons set forth in Schedule 1.01(d).

Knowledge of Seller means the actual knowledge of each Person identified on Schedule 1.1(a).

Knowledge of Seller shall have the meaning set forth in Section 1.4.

Knowledge of Seller means the actual knowledge of the persons set forth in Section 11.03 of the Seller Disclosure Letter.
