Lead Independent Director definition

Lead Independent Director means the independent director appointed by the independent members of the Board of Directors in accordance with Article IV, Section 8 of these Bylaws.
Lead Independent Director means a Non-Employee Director who has been appointed as lead independent director by the Board, in accord with the policies and procedures of the Company, the Board and the committees thereof.
Lead Independent Director if appointed, means the director of the Corporation, who is responsible for calling separate meetings of the independent directors, determining the agenda and serving as chairperson of meetings of independent directors, reporting to the Chairperson of the Board regarding feedback from executive sessions, serving as spokesperson for the Corporation as requested, and performing such other responsibilities as may be designated by a majority of the independent directors from time to time.

Lead Independent Director means the independent director who has been designated by the Board to serve as the lead independent director of the Company.
