Lender Reliance Sample Clauses

Lender Reliance. Borrower acknowledges that Lender has examined and relied on the experience of Borrower and its general partners, members, principals and (if Borrower is a trust) beneficial owners in owning and operating properties such as the Property in agreeing to make the Loan, and will continue to rely on Borrower's ownership of the Property as a means of maintaining the value of the Property as security for repayment of the Debt and the performance of the Other Obligations. Borrower acknowledges that Lender has a valid interest in maintaining the value of the Property so as to ensure that, should Borrower default in the repayment of the Debt or the performance of the Other Obligations, Lender can recover the Debt by a sale of the Property.

Individual Borrower acknowledges that Lender has a valid interest in maintaining the value of the Property so as to ensure that should an Event of Default under the Loan Agreement be continuing, Agent, for the ratable benefit of each Lender, can recover the Debt by a sale of the Property.
Lender Reliance. Upon any Distribution of Assets, Lender shall be entitled to rely upon any order or decree made by any court of competent jurisdiction in which such dissolution, winding-up, liquidation, bankruptcy or reorganization proceeding is pending, or a certificate of the liquidating trustee or the Senior Debtholders or other person making such distribution to Lender, for the purpose of ascertaining the persons entitled to participate in such Distribution of Assets, the Senior Debtholders, the amount thereof or payable thereon, the amount or amounts paid or distributed thereon and all other facts pertinent thereto and this Section F.2.
