Lessor Indemnitees means Lessor and Sierra Pacific Holding Company, including their successors and assigns, and each of their respective officers, directors, employees, agents, representatives, subsidiaries and affiliates. Except as otherwise provided in the Agreement for Environmental Conditions, Lessor shall indemnify, defend and hold harmless Lessee from and against claims, liabilities, losses, damages or expenses arising out of or relating to the gross negligence or willful misconduct of Lessor (or Lessor’s employees, agents, representatives, independent contractors, material and equipment suppliers and any other entity or individual for whom Lessor is responsible). The indemnity provided herein shall survive the termination of this Lease.

• The Lessee shall not enter into any settlement or other compromise with respect to any Claim which is entitled to be indemnified under Section 7.1 or 7.2 without the prior written consent of the Lender acting individually and on behalf of the affected Indemnitee (and Lessor hereby irrevocably so authorizes Lender to grant such consent on behalf of Lessor and the Lessor Indemnitees), which consent shall not be unreasonably withheld.
