Liberty Party means (i) LIFE, Liberty and TCI, (ii) the respective directors, officers, employees and agents of the Persons specified in clause (i) of this sentence, and (iii) the respective successors, assigns, executors, heirs and legal representatives of the foregoing.

Liberty Party has the meaning set forth in the LMC Agreement.

Liberty Party means LMC Parent and each Affiliate of LMC Parent that is controlled by LMC Parent from time to time and, for so long as LMC Parent is an Affiliate of TCI that is controlled by TCI, shall also mean TCI and each Affiliate of TCI that is controlled by TCI.

• Each Liberty Party shall have delivered to Founders a certificate, dated the Closing Date and signed by an appropriate and duly authorized officer or representative of such Liberty Party, certifying that the conditions specified in Sections 12.1 and 12.2 have been fulfilled.

• A duly completed and delivered Liberty Acceptance Notice shall constitute a binding irrevocable agreement by Liberty to purchase, or to cause another Liberty Party or a Permitted Transferee to purchase, the Founder Offered Shares at the Founder Offer Price as provided in this Section 5.

Liberty Party means:

Liberty Party or “Liberty Parties” means Liberty Media Corporation, Liberty CapStarz, Inc., Investor and any of their respective subsidiaries, together with (i) any Affiliate of any of the foregoing that owns of record shares of Series J Preferred Stock, or shares of Common Stock received upon conversion thereof, and is subject to a Liberty Distribution Transaction, and (ii) any Affiliate of any Person that becomes a Liberty Party by reason of any Liberty Distribution Transaction in compliance with the provisions of the Investment Agreement and owns of record shares of Series J Preferred Stock, or shares of Common Stock received upon conversion thereof.

Liberty Party means Liberty Metals & Mining Holdings, LLC and any Affiliates of the foregoing to whom Company Shares are Transferred by a Stockholder after the IPO Date in accordance with this Agreement.

Liberty Party or “Liberty Parties” means any and all of CSC, LIH, the Company and its subsidiaries.

Liberty Party means any of the “Liberty Parties” as defined in the Investment Agreement dated as of February 17, 2009, between Sirius XM Radio Inc. and Liberty Radio, LLC.

Liberty Party or “Liberty Parties” means Liberty Media Corporation, Liberty CapStarz, Inc., Liberty GIC, Inc. and any of their respective subsidiaries, together with (i) any Affiliate of any of the foregoing that owns of record shares of Series J Preferred Stock, or shares of Company Common Stock received upon conversion thereof, and is subject to a Liberty Distribution Transaction, and (ii) any Affiliate of any Person that becomes a Liberty Party by reason of any Liberty Distribution Transaction in compliance with the provisions of this Agreement and owns of record shares of Series J Preferred Stock, or shares of Company Common Stock received upon conversion thereof.

Liberty Party shall have the meaning ascribed to such term in the Liberty Investment Agreement.
