License Fee definition

License Fee means the amount payable by the licensee to DMRC as per rates offered by the Selected Bidder for utilization of licensed space and accepted by DMRC to be paid by the Licensee along with other charges and any kind of Central or State Taxes, local levies, statutory dues, etc. that may be payable by the licensee as per prevalent law.
License Fee means the amount payable by the Licensee to NMRC as per terms and conditions of the License Agreement.
License Fee means, the sum of money payable by the licensee in accordance with the terms & conditions of license in respect of premises allotted by the licensor.

  • The Controlling Creditors may permit the use of Collateral consisting of amounts in or from the Collection Accounts to pay the IP License Fee, but not any Taxes associated therewith, which Taxes shall be the sole responsibility of the Parent Guarantor and Azul Linhas to satisfy out of other sources of funds (including that the Parent Guarantor and Azul Linhas shall be required to use other sources of funds to gross up any payments of the IP License Fee to cover any withholding Tax).

  • For clarity, in each case: (a) the Source Code License shall be subject to Walmart’s payment of the applicable undisputed Charges, including the Software License Fee, due for all Alpha Systems and any applicable Software Maintenance Fees and (b) none of the foregoing shall limit Walmart’s obligation to pay the Capital Markup Payments in accordance with Exhibit J (Pricing) for any such Alpha System contemplated by clause (iii) to this Section 4.4(f).

  • The Software License shall terminate in the event that: (x) Walmart does not continue to pay the Software License Fee by the date specified in the preceding sentence and actually make such payments, or (y) Walmart continues to pay the Software License Fee, but fails to make such payment at any point in the future, subject to any cure periods permitted under this Agreement.

  • For the avoidance of doubt, any provisions of this Agreement applicable to Walmart’s Software License Fee payment requirements shall survive and continue in full force and effect until such time that the final Software License Fee payment by Walmart for all applicable Alpha Systems has been made.

  • Symbotic shall be entitled to revoke the foregoing license by written notice to Walmart solely in the event Walmart fails to comply with its payment obligation set forth in Section 4.1(e) (Software License Fee), subject to the cure periods set forth in Section 15.6 (Termination by Symbotic for Walmart Material Breach) and not for any other Walmart Material Breach.
