License Payments definition

License Payments has the meaning set forth in Section 2.1.

License Payments shall have the meaning provided in Section 9.3(b).

License Payments means all amounts (including, without limitation, ---------------- so-called "minimum guarantees" and "advances") payable to or for the benefit of the Borrower pursuant to any License Agreement whether characterized as accounts, accounts receivable, general intangibles or otherwise; any and all sums, proceeds, money, products, profits or increases payable to the Borrower pursuant to any License Agreement; all chattel paper that may arise in connection with any License Agreement and any and all amounts payable thereunder whether characterized as accounts, accounts receivable, contracts receivable, general intangibles or otherwise; and any and all proceeds of the foregoing payable to the Borrower.

Examples of License Payments in a sentence

• Licensee acknowledges that the Premises are licensed to and accepted by Licensee in an “as-is” condition, and that the License Payments and other sums payable from Licensee to OCWD hereunder do not include the cost of security guard or any other security services or measures.

• During the period of this Agreement, Subscription (License) Payments shall be paid by the Subscriber (Licensee) at the rate set forth in Exhibit C for the license to the PatentBook Patents.

More Definitions of License Payments

License Payments means the Closing License Payment, the First Year Quarterly License Payments, the Second Year Quarterly License Payments, the Third and Fourth Year Quarterly License Payments and the Fifth Year Quarterly License Payments.

For the purpose of the foregoing, the “fair market value” of an entity’s equity securities shall be determined as follows: (a) if the shares of the relevant entity are not traded on a stock exchange or over the counter, the value of such equity securities as determined in good faith by Oscine’s Board of Directors, and (b) if the shares of the relevant entity are traded on a stock exchange or over the counter, the average closing price of such shares on the [***] trading days prior to the closing of the equity transaction.

License Payments shall have the meaning set forth in Section 3.2.

License Payments means all payments due from XPH to Athenex under the License Agreement including, without limitation, all upfront fees, regulatory milestone fees, sales milestone fees, royalties, Change of Control Payments. Except as specifically modified or supplemented pursuant to this Supplement, the License Agreement shall continue in full force and effect in accordance with its terms, with XPH and Athenex being the key parties to the license arrangement set forth in the License Agreement
