Licensed Products and Services. Licensed Products and Services shall mean Subscriber (Licensee) products and services manufactured, imported, used, sold, or offered for sale in the United States for identifying geographic location, and/or for autonomous assist or control, and/or for electrical drive systems.

Licensed Products and Services has the meaning ascribed to it in Section 4(a) of this Agreement.

• The warranty and indemnification provisions of Sections 4 and 5 hereof state the entire liability of PTC, its subsidiaries and affiliates, and each of their respective directors, officers, employees or agents, with respect to the Licensed Products and Services, including (without limitation) any liability for breach of warranty, or for infringement or alleged infringement of patent, copyrights, trademarks, trade secrets and other intellectual or proprietary rights by the Licensed Products, or their use.

• Each RPX Licensee shall have the right, consistent with this Section 1.2(c), to grant specific non-sublicensable, non-assignable sublicenses to its Covered Third Parties with respect to such RPX Licensee’s or its Affiliates’ Licensed Products and Services.

• The warranty and indemnification provisions of Sections 5 and 6 hereof state the entire liability of PTC, its subsidiaries and affiliates, and each of their respective directors, officers, employees or agents, with respect to the Licensed Products and Services, including (without limitation) any liability for breach of warranty, or for infringement or alleged infringement of patent, copyrights, trademarks, trade secrets and other intellectual or proprietary rights by the Licensed Products, or their use.

• Customer recognizes that fees paid by Customer for the Licensed Products and Services are based in part on the disclaimer of warranty and limitation of liability provisions set forth herein and that, in the absence of Customer’s agreement to such terms, the charges for the Licensed Products would be significantly higher.

• Subject to the terms and limitations set forth in this Agreement, BrandCo hereby grants to Revlon an exclusive, non-transferrable (except as expressly permitted by Section 14.3), sub-licensable (solely in accordance with Section 2.2), royalty-bearing, license to use, during the Term, the Licensed IP in connection with the Licensed Products and Services and otherwise in the operation of the Business in the Territory (the “License”).

Licensed Products and Services means each product manufactured, assembled, offered, sold, distributed or otherwise commercialized and each service offered, provided or otherwise commercialized, in each case by or on behalf of the Moon Business as of immediately prior to the Distribution Time, that contains, bears, displays, uses or is offered, sold, distributed, provided or otherwise commercialized under any Licensed Trademarks.

Licensed Products and Services means any products, services or other activities of a Licensee that practice one or more claims of one or more Licensed Patents of a Licensor.

Licensed Products and Services means, with respect to a particular Licensee, any and all Products and Services of such Licensee. For the avoidance of doubt, if a particular Licensee is in the business of hosting third party services for third parties, which services are offered and sold by such third parties to their customers, then any such third party service, or products sold through such third party service, are not considered to be Licensed Products or Services of such Licensee simply on the basis of such hosting.
