Licensed Products and Services definition

Licensed Products and Services means those products and services that use, practice or incorporate the Licensor’s Intellectual Property or Technology.
Licensed Products and Services has the meaning ascribed to it in Section 4(a) of this Agreement.
Licensed Products and Services means each product manufactured, assembled, offered, sold, distributed or otherwise commercialized and each service offered, provided or otherwise commercialized, in each case by or on behalf of the Moon Business as of immediately prior to the Distribution Time, that contains, bears, displays, uses or is offered, sold, distributed, provided or otherwise commercialized under any Licensed Trademarks.

  • The warranty and indemnification provisions of Sections 4 and 5 hereof state the entire liability of PTC, its subsidiaries and affiliates, and each of their respective directors, officers, employees or agents, with respect to the Licensed Products and Services, including (without limitation) any liability for breach of warranty, or for infringement or alleged infringement of patent, copyrights, trademarks, trade secrets and other intellectual or proprietary rights by the Licensed Products, or their use.

  • Licensee shall hold PowerSchool harmless from claims for damages resulting from Licensee’s misuse of the Licensed Products and Services, including PowerSchool’s intellectual property.

  • Licensee shall use the Licensed Products and Services only for the internal business purposes of Licensee.

  • Notwithstanding the foregoing notice procedures, the Parties acknowledge that notices regarding the ordinary usage of the Licensed Products and Services may be sent through the usual and customary means that the parties establish for such communications, including electronic communications.
