Licensed Properties definition

Licensed Properties means the intellectual property and proprietary rights owned or controlled by Licensor in all versions (other than versions that are co-branded with third parties (“Co-Branded Versions”)), subsequently developed versions and international versions and translations of the MONOPOLY, BATTLESHIP, CLUE (CLUEDO), YAHTZEE, THE GAME OF LIFE and MOUSE TRAP board games sold by Licensor, including without limitation their respective attributes, associated logo(s), names, characters, symbols, designs, likenesses, visual representations, style elements, artwork, trademarks, trade dress, copyrighted elements, rules, features, game play and game mechanics, and patents owned or controlled by Licensor and used in any of the foregoing board games (provided, however, that if there is a third-party license fee or royalty for use of any such patent, then Licensor shall inform Licensee of such patent and Licensee shall be solely responsible for payment of the license fee or royalty and Licensee covenants and agrees to pay the same). Licensor represents and warrants that there is no such patent owned or licensed by Licensor and used in the current versions of the MONOPOLY, BATTLESHIP, CLUE (CLUEDO), YAHTZEE, THE GAME OF LIFE and MOUSE TRAP board games for which Licensee would be responsible for payment of a license fee or royalty as provided in the immediately preceding sentence. In no event shall Licensee have the right to utilize the Licensed Properties as depicted in or adapted for any live action presentation, audio program or recording, theatrical motion picture, direct-to-video program, or television program, series or game show.
Licensed Properties means: (i) the Game, and all games and elements embodying the essential play pattern, the rules and/or the “look and feel” of the Game, including, without limitation, any of Licensor’s patents, design scripts, screen displays, audiovisual works, the source code and object code for any software included therein, and Licensor’s copyrights and other rights related thereto; (ii) the Tetris Marks; (iii) the Tetris Music; and (iv) any sequels, updates or derivatives to any of items described in the foregoing clauses (i) to (iii) developed by or on behalf of Licensor during the Term. The Licensed Properties include, without limitation, those items listed in Appendix A, attached hereto, and shall also include any sequels, updates or derivatives thereof developed by or on behalf of Licensor during the Term.
Licensed Properties means such of the Properties as are held under the terms of a licence, details of which are set out in Schedule 3;

Examples of Licensed Properties in a sentence

  • Establishing and implementing policies to achieving financial returns for the Licensed Properties, based on all terminal rates, charges, and rules and regulations, whether imposed by tariff, marine terminal operator schedule, lease or other contract, or in any other manner.

  • Notwithstanding anything to the contrary contained in paragraph II.A. above, Licensee may not sell, license, sublicense or otherwise transfer any of the Licensed Properties to any Competitor.

  • Licensee shall have the right and license to sublicense the Licensed Properties to Permitted Sublicensees.

  • Licensor and its licensors exclusively own all right, title and interest in and to the Licensed Properties, including all worldwide copyright rights, trademark rights and all other intellectual property or proprietary rights therein.

  • Licensee shall have marked the appropriate portions of all Licensed Properties with the applicable United States of America and foreign Patent numbers in accordance with the applicable laws of the countries in which the materials are intended to be used and offered.


More Definitions of Licensed Properties

Licensed Properties means, collectively, the Licensed Software and Licensed Marks.
Licensed Properties means the licensed land and premises currently used or occupied by the Group for the purposes of the Business and which are marked as “third party premises” in the table set out in Schedule 12 (Properties);
Licensed Properties has the meaning set forth in Section 6.10.
Licensed Properties means the Licensed Web Site(s) (including all subdomains thereof) and/or LICENSEE’s proprietary Apps that are operated in direct association with one (1) or more Authorized Station(s). For the avoidance of doubt, a Web Site or App may also enable access to Internet Channels, and the availability of said Internet Channels shall not cause the Web Site or App to fall outside the scope of the definition of the termLicensed Property” hereunder.
Licensed Properties means LICENSOR I a trademarks, copyrightable material, and other industrial and intellectual property limited to the names "SHELBY," "▇▇▇▇▇▇▇ ▇▇▇▇▇▇," "▇▇▇▇▇▇▇ ▇▇▇▇▇▇ SIGNATURE AND LIKENESS," "SHELBY SERIES 1," and "SHELBY SERIES 1 LOGO." The distinctive appearance and shape of the Cobra 260, 289, 427, Coupe, and Series 1 is protected trade dress property of Shelby American Licensing, Inc. The LICENSED PROPERTIES may be protected by trademark and/or copyright registrations and/or by federal, state, and common laws governing trademark, trade dress, copyright, and/or the right of publicity in various countries of the world, with respect to motor vehicles, parts, accessories, and other goods.
Licensed Properties has the meaning given to it in Section 7.33; “Letter Agreement” has the meaning ascribed thereto in the Prospectus;
Licensed Properties means certain proprietary marks of Licensor, consisting of the proprietary trademarks, trade names, service marks, designs and logos set forth on Schedule A hereto ("Proprietary Marks"), and such other marks of Licensor that Licensor shall have specifically authorized Licensee in writing to use pursuant to a written notice acknowledged by Licensee in the form of Exhibit A hereto ("New Marks").
