All Contracts of the Company are listed on Schedule 1.1(b) hereto and all Licenses and Permits are listed on Schedule 1.1(c) hereto, and are valid, binding, and in full force and effect, and the Company is not in material breach or default under any such contracts, licenses or permits.
All amounts prepaid, accrued or due and payable under any Licenses and Permits (other than utilities which are separately prorated under Section 10.1.5) transferred to Purchaser shall be prorated as of the Cut-Off Time between Seller Parent and Purchaser, with Seller Parent receiving a credit for all amounts prepaid and Purchaser receiving a credit for all amounts accrued or otherwise due and payable and unpaid.

Seller Parent shall receive a credit for all deposits made by or on behalf of the Target Entity under the Licenses and Permits which remain on deposit for the benefit of the Target Entities.
Except as set forth on Schedule 3.14, there are no past, pending or, to the Knowledge of each Company, threatened disciplinary or other hearings, investigations or sanctions against a Company or any Company representative with respect to any Licenses and Permits.
