Licensee hereby irrevocably grants all such rights and permissions in or relating to Licensee Data: (a) to Licensor, its Subcontractors and the Licensor Personnel as are necessary or useful to perform the Services; and (b) to Licensor as are necessary or useful to enforce this Agreement and exercise its rights and perform its hereunder.

To the best of Licensor’s knowledge, after investigation, neither Licensor nor Licensor Personnel performing Services, has any existing obligation and no claim has been made that the Software Product or Services infringe upon the rights of third parties (including such rights as property, contractual, employment, trademark, trade secrets, copyright, patent, proprietary information and non-disclosure rights) that might affect Licensor’s ability to fulfill its obligations under this Agreement.
During the Term, upon Licensee's written request, Licensor shall allow Licensee or Licensee's representative to inspect and make copies of service records and interview Licensor Personnel in connection with the provision of the Services; provided that any such inspection shall take place during regular business hours no more than once per year and Licensee provides Licensor with at least ten (10) business days advance written notice.
