Lilly Patents definition

Lilly Patents means all Patents licensed by Lilly to GenuPro under the Lilly Agreement that claim a Compound or Licensed Product or method of making or using a Compound or Licensed Product, including without limitation the Patents listed on Schedule 1.25.
Lilly Patents means all and any patents, utility models and any applications therefor in the Territory (other than the Lilly Program Patents or Joint Patents) that are or subsequently may be owned or acquired by or assigned or licensed to Lilly (including any and all divisions, continuations, continuations-in-part, extensions, additions, registrations, confirmations, reexaminations, Supplementary Protection Certificates, renewals or reissues thereto or thereof) and that would be infringed by the development, manufacture, use, disposal, sale, offer of disposal or sale, or importation of the Product(s) in the Territory and/or relate to the Field;
Lilly Patents means all patents, both foreign and domestic, with claims which cover the manufacture, use or sale of Bulk Drug Substance and/or Drug Product and which have not been held invalid or unenforceable in a decision by a court of competent jurisdiction from which no appeal has been or can be taken, including without limitation all substitutions, extensions, reissues, renewals, supplementary protection certificates, and inventors' certificates, issued as of, or which subsequently issue from applications (including provisional applications, divisionals, continuations and continuations-in-part) pending as of the Effective Date which Lilly or any majority owned Affiliate of Lilly, owns, controls or has a license to (with right to sublicense), including, without limitation, those Patents being listed on Schedule 1.20 attached hereto.

Examples of Lilly Patents in a sentence

  • Notwithstanding anything to the contrary in this Article 9, the Parties acknowledge that the scope of rights to initiate or defend claims of patent infringement or invalidity regarding Lilly Patents are limited by and must be consistent with the terms of Article 9 of the Lilly Agreement.

  • GenuPro shall not settle any action in a manner that is prejudicial to any of Licensee’s rights under GenuPro Patents or Lilly Patents licensed hereunder without Licensee’s prior written approval, which approval shall not be unreasonably withheld.

Lilly Patents means all Patents Controlled by Lilly as of the Effective Date or during the Term that are necessary or useful for the Development, Manufacture, formulation, use, distribution or sale of Compound or Product, including without limitation any such Patents claiming the composition of matter or the use of Compound or Product or any Improvements.
Lilly Patents means all existing and future Patents claiming or covering the Licensed Compounds or their formulation or use or application in the Field that are Controlled by Lilly or its Affiliate and (1) are necessary or useful for Magen to develop, use, import, export, offer for sale and sell the Licensed Product in the Field; and/or (2) are necessary for Magen to make or have made the Licensed Product in the Field. Attached as Schedule C of this Agreement is the list of Lilly Patents as of the Effective Date.

Lilly Patents means all patents, both foreign and domestic (including without limitation, all substitutions, extensions, reissues, renewals, reexaminations, patents of addition, supplementary protection certificates and inventors' certificates thereof and pediatric data package exclusivity extensions), and all pending patent applications (including provisional applications, divisions, continuations and continuations-in-part) which, as of the Effective Date, are owned, controlled, or licensed in (with the right to disclose and sublicense), in whole or in part, by Lilly or any Affiliate of Lilly and that contain or result in a Valid Claim which Covers the identification, manufacture, use, import, offer for sale or sale of Program Screens, Research Compound(s), Closely Related Derivatives, or Products including but not limited to those patents and patent applications listed on APPENDIX B attached hereto. ----------
Lilly Patents means all Patents that are Controlled by Lilly as of the Effective Date or thereafter during the Term to the extent having a Valid Claim Covering, in whole or in part, the composition, manufacture or use of a Compound (including, for clarity, where such Compound is comprised in a Product).
