Limited Member definition

Limited Member means a person designated as a limited member of a local plan under section 72 (1);

Limited Member means a Member holding a Limited Membership;

Limited Member means a Member or other Person that has become a Limited Member pursuant to Section 13.4 hereof or a Person that acquires Units from a Limited Member; provided that a Member (that is not a Limited Member) that acquires Units from a Limited Member shall not be deemed to be a Limited Member hereunder but such Member shall, as to such Units, have the rights and obligations of the Limited Member that last held such Units.

Examples of Limited Member in a sentence

• Any shares beneficially owned by such Vote Limited Member in excess of the Vote Limit shall not constitute Voting Shares for any purposes of this Agreement for so long as such shares are beneficially owned by such Vote Limited Member or any affiliate of such Vote Limited Member.

• These provisions would not apply to any Member or Limited Member that is either in default of an obligation to FICC or has provided notice of its election to withdraw its membership from the applicable Division.

• In addition to Members, upon the request of an applicant, the Corporation may approve an application by a Person to become a Limited Member, whose use of the Corporation’s services is limited to those services specified by the Corporation.

• If a Vote Limited Member submits an irrevocable request in writing to the Managing Member to limit its voting rights to 10% of the Voting Interests, such Vote Limited Member’s name, address and holdings may not be reported in the Company’s ongoing SEC filings, unless such person is otherwise deemed to be an Affiliate of the Company (for the avoidance of doubt, as defined in Rule 405 of the Securities Act).

• Following a Transfer to a transferee who acquires a Membership Interest from a Class A Limited Member under this Agreement by means of a Transfer that is permitted under this Section 11, but who is not admitted as a Class A Limited Member, the transferor shall not cease to be a Class A Limited Member of the Company and shall continue to be a Class A Limited Member until such time as the transferee is admitted as a Class A Limited Member under this Agreement.

More Definitions of Limited Member

Limited Member means any Person who is a Class A Limited Member or a Class B Limited Member.
