Liquidity Report definition

Liquidity Report a report, in form and substance reasonably satisfactory to the Administrative Agent, delivered by the Borrower to the Administrative Agent which discloses, as of the date of such report, the amount of Liquidity as of such date.
Liquidity Report has the meaning assigned to such term in Section 5.01(d).
Liquidity Report means a report signed by the Chief Financial Officers of the Borrower, in form and substance satisfactory to the Agent in Agent’s Discretion, which sets forth Liquidity and such other information related thereto as requested by the Agent in Agent’s Discretion.

More Definitions of Liquidity Report

Liquidity Report means a report from a Financial Officer of the Borrower, substantially in the form of, and containing substantially the certifications set forth in, the form attached hereto as Exhibit 5.1(d).

Liquidity Report means a report, in substantially the form of Exhibit J-2, providing a historic cash flow analysis for Aveanna and the Restricted Subsidiaries for each week during the most recently ended Fiscal Quarter, which report shall include a statement of the actual Capped Liquidity of Aveanna and its Restricted Subsidiaries during each such week.

Liquidity Report shall initially refer to the Liquidity Report most recently delivered on or prior to the Amendment No. 4 Effective Date and, thereafter, the most recent Liquidity Report delivered by the Borrower in accordance with Section 6.02(g). “Liquidity Test Date” means the last day of each fiscal month (commencing for the fiscal month ending July 31, 2026 (the “Initial Liquidity Test Date”)). “Liquidity Test Period” means (a) for the Initial Liquidity Test Date, a period commencing on July 1, 2026 and ending on the Initial Liquidity Test Date, and (b) thereafter, a period commencing on the first day of each fiscal month and ending on the Liquidity Test Date most recently ended. “Loan” means an extension of credit by a Lender to the Borrower under Article II in the form of a Term Loan, a Revolving Credit Loan or a Swing Line Loan.
Liquidity Report means, at any time, the general liquidity report or reports produced for management of the Borrower that captures the major elements of liquidity management for the Borrower and its Subsidiaries (excluding BGE and its Subsidiaries) at such time for the period extending to at least the Termination Date, and which may include items such as net available liquidity, cash, forecasted sources and uses and the impact of stresses on these sources and uses over the period from the date of this Agreement through the Termination Date. The form and content of such reports may change over time to reflect management’s current view of its key liquidity reporting requirements that enable the Borrower to best manage its liquidity adequacy but will in any event provide information having a scope and level of detail similar to information provided at or around such time to S&P, Fitch or Moody’s concerning the Borrower’s and its Subsidiaries’ (other than BGE and its Subsidiaries) liquidity management.
