Listing Event definition

Listing Event means the Common Stock has a Weighted Average Price of at least $2.00 per share (such dollar amount to be adjusted for any reverse stock split, combination or reclassification of shares or other similar event, in each case after the Initial Closing Date) for the twenty (20) consecutive Trading Days immediately prior to the date of the Mandatory Conversion Notice, and the Company has either: (i) met the requirements of the New York Stock Exchange Listed Company Manual with respect to the listing of Common Stock on the New York Stock Exchange, and is then using reasonable commercial efforts to list the Common Stock on the New York Stock Exchange or (ii) met the requirements of any tier of the NASDAQ Stock Market with respect to the listing of Common Stock on the NASDAQ, and is then using reasonable commercial efforts to list the Common Stock on the NASDAQ.
Listing Event means any of the following: (i) the closing of the Company’s initial public offering of securities or direct listing of securities pursuant to an effective registration statement filed under the Securities Act; (ii) the registration of the Company’s securities under Section 12 of the Exchange Act in connection with its initial public offering; (iii) the closing of the Company’s initial public offering, or the listing of the Company’s shares, on a stock exchange outside of the United States; or (iv) or the occurrence of any other event that results in the Warrant Shares becoming a class ofequity security,” as such term is defined in Rule 13d-1(i) under the Exchange Act, including any merger or other transaction involving a special purpose acquisition company which results in the shares of the same class as the Warrant Shares being converted into or exchanged for publicly-traded securities.
Listing Event means the listing of the REIT Stock on (i) the New York Stock Exchange, the NYSE MKT LLC., or the Global Market or Global Select Market of the Nasdaq Stock Market (or any successor to such entities) or (ii) a national securities exchange (or tier or segment thereof) that has listing standards that the Securities and Exchange Commission has determined by rule are substantially similar to the listing standards applicable to securities described in Section 18(b)(1)(A) of the Securities Act.

Examples of Listing Event in a sentence

  • The repayment must occur on an Interest Payment Date within 180 days after such Equity Listing Event and be made with funds in an aggregate amount not exceeding the cash proceeds received by the Issuer as a result of such Equity Listing Event (net of fees, charges and commissions actually incurred in connection with such Equity Listing Event and net of taxes paid or payable as a result of such Equity Listing Event).
