LOSS OF COLLATERAL any loss, theft, damage or destruction of any item or items of the Collateral occurs which in the opinion of the Agent (i) could materially and adversely affect the operation of any Borrower's or any Obligor's business or the business of the Group (taken as a whole) or (ii) is material in amount and is not adequately covered by insurance;
