Examples of LTI Awards in a sentence
With respect to each fiscal year during the Term of Employment commencing in the 2026 fiscal year, Executive shall be eligible to receive (i) time-based LTI Awards having a fair market value (as defined by the Equity Plan) on the grant date equal to $333,333 and (ii) performance-based LTI Awards having a fair market value (as defined by the Equity Plan) on the grant date equal to $666,667.
LTI Awards shall be granted in accordance with the A▇▇▇’▇ normal grant cycle.
The Company may (i) cause the cancellation of any LTI Awards or Bonus, (ii) require reimbursement of any benefit conferred under the Equity Plan, an award agreement, Bonus Plan or otherwise, and (iii) effect any other right of recoupment of equity or other compensation provided to Executive in accordance with any Company policies that currently exist or that may from time to time be adopted or modified in the future by the Company and/or applicable law (each, a “Clawback Policy”).
