Maintenance Downtime definition

Maintenance Downtime means such time as the Software is offline or unavailable for regularly scheduled system maintenance or migration of customer data.
Maintenance Downtime means the time the Software is not accessible to Customer while maintenance is being done on the Software, the Equipment, the Data Center or any other equipment or facility utilized by EasyHRweb in providing Customer access to the Software, which maintenance is either (a) scheduled to be performed at the same time at specified intervals, (b) not scheduled at specified intervals but which Customer has been advised of at least two (2) hours in advance, or (c) otherwise scheduled in advance by agreement of EasyHRweb and Customer.
Maintenance Downtime means actual but planned downtime during which the Cloud Service may be unavailable or severely disrupted due to the Licensor’s maintenance activities, such as necessary work on hardware, OS, network, database, software, repairs, patches, and upgrades.

Examples of Maintenance Downtime in a sentence

  • Subject to payment of the Charges and compliance with the other terms and conditions of this Agreement, Customer shall have the right to access the System and to use the Software in accordance with the limited license set forth in Section 4.1.1. The System shall be available 24 hours per day, 7 days per week, but excluding periods of Maintenance Downtime and periods of Unscheduled Outages outside the control of EasyHRweb.

  • Generally, Entrinsik will notify Customer at least 12 hours prior to the Maintenance Downtime.

  • DMS will notify Intersections of any Scheduled Maintenance Downtime that will occur outside of the Standard Maintenance Windows outlined above.

  • Entrinsik will use commercially reasonable efforts to perform Maintenance Downtime after regular business hours, specifically between 9:00 pm Eastern time on Friday and 7:00 am Eastern time on Monday.

  • In some cases, such as to address urgent security issues, prior notice of Maintenance Downtime is not possible.


More Definitions of Maintenance Downtime

Maintenance Downtime means the period of time that a particular System, Application, Software, Equipment, Network, or any other part of the Services is not available during the Measurement Windows that have been approved (i) in writing by the Kraft Contract Manager or a designee thereof or (ii) pursuant to the applicable Supplement.
Maintenance Downtime means routine maintenance that occurs outside of normal working hours (Pacific Time) and continues for no more than four hours in any one instance, so long as Company provides Customer at least 48 hours prior written notice (including by email) to Customer’s main technical contact on file with Company.
