Major Tenants definition

Major Tenants has the meaning ascribed to such term in Section 7.2.
Major Tenants mean those Tenants set forth on Exhibit O annexed hereto. The Tenant Estoppel Certificates shall be in the form of and upon the terms set forth on Exhibit P annexed hereto. Seller shall deliver the original executed Tenant Estoppel Certificates to Buyer as and when the same shall be delivered to Seller, but in no event later than one (1) Business Day prior to the Closing Date. If any Tenant Estoppel Certificate shall have been modified or qualified in any fashion that, individually or in connection with other Tenant Estoppel Certificates, reveals facts, conditions or circumstances which result or may result in a material adverse change in the financial condition of the Property, or are inconsistent in any material respect with the representations of Seller set forth in Section 4.1 above, then Buyer may disapprove the same (such disapproved Tenant Estoppel Certificates, the "Unacceptable Certificates") by notice delivered to Seller promptly following Buyer's receipt of such Unacceptable Certificate, and, for purposes of establishing whether the Estoppel Condition has been satisfied, any Unacceptable Certificates shall be deemed not to have been received. In the event Seller the Tenant Estoppel Certificate delivered by either Stop & Shop or the Tenant known as Marshalls Department Store ("Marshalls"), is deemed to be an Unacceptable Certificate as a result of the fact that it fails to include certifications with respect to all of the matters set forth on Exhibit P, Seller shall deliver to Buyer a supplementary certification, in the form of Exhibit P, with respect to those matters contained in Exhibit P (other than the certification with respect to subordination), which are not included in the Unacceptable Certificate delivered by Marshalls and/or Stop & Shop (any such certificate, a "Seller's Certificate"). Seller shall not be obligated, in the Seller's Certificate, to make certifications which are inconsistent with the representations of Seller set forth in Section 4.1 above.
Major Tenants means those certain Tenants representing or leasing 50,000 square feet or more in any one Property excluding the GSA.

Examples of Major Tenants in a sentence

  • Lender shall have received appropriate instruments acceptable to Lender in its commercially reasonable discretion subordinating the Leases of each of the Major Tenants and other Leases of record prior to the Mortgage and including an agreement by such Tenants to attorn to Lender in the event of a foreclosure or delivery of a deed in lieu thereof.

  • The statements shall show in detail all income derived from and expenses incurred in connection with the ownership of the Property, including current annual sales figures for all Major Tenants of the Property if required under the Major Tenant leases or if such financial information is otherwise available.

  • The Borrower will immediately notify the Agent in writing of the occurrence of any failure of any of the Major Tenants to materially comply with any of the material terms, covenants, conditions or agreements under any of the Major Leases.

  • Notwithstanding the terms of the immediately preceding sentence, Purchaser shall not be obligated to accept a Seller estoppel for more than 15% (based upon square footage) of the balance of the tenants at the Property remaining (after Major Tenants).

  • Annually, Borrower shall furnish Lender financial statements for the most current fiscal year (including a schedule of all related Obligations and contingent liabilities) for (i) Borrower, (ii) any general partner(s) of Borrower and any general partners of such partners, (iii) any guarantors or sureties of the Note, and (iv) any Major Tenants, to the extent reasonably available.


More Definitions of Major Tenants

Major Tenants means all tenants leasing space pursuant to Major Tenant Leases.
Major Tenants mean those Tenants set forth on EXHIBIT N annexed hereto. The Tenant Estoppel Certificates shall be substantially in the form of and upon substantially the terms set forth on EXHIBIT O annexed hereto. The Owners shall deliver the original executed Tenant Estoppel Certificates to Cedar as and when the same shall be delivered to the Owners, but in no event later than two (2) Business Days prior to the Closing Date. If any Tenant Estoppel Certificate shall have been modified or qualified in any fashion that, individually or in connection with other Tenant Estoppel Certificates, reveals facts, conditions or circumstances which result or may result in a material adverse change in the financial condition of the Property, or are inconsistent in any material respect with the representations of the Owners set forth in Section 4.1 above, then Cedar may disapprove the same (such disapproved Tenant Estoppel Certificates, the "Unacceptable Certificates") by notice delivered to the Owners promptly following Cedar's receipt of such Unacceptable Certificate, and, for purposes of establishing whether the Estoppel Condition has been satisfied, any Unacceptable Certificates shall be deemed not to have been received.
Major Tenants means the Tenants identified on [****] attached hereto.
Major Tenants means any tenant of the Building leasing premises with a total Rentable Area equal to or greater than 10,000 square feet and any other tenant of the Building designated by the Landlord as a Major Tenant.
Major Tenants means the Tenants set forth on SCHEDULE 15 hereto.

Major Tenants and "Material Tenant" Any Tenant and Tenants, as the context may require, occupying more than 7,500 square feet in any of the Properties or ground leasing any real property at any of the Properties listed in Sellers Disclosure Schedule.
