Major Tenants definition

Major Tenants has the meaning ascribed to such term in Section 7.2.
Major Tenants. Hilton Long Beach, US Customs, REMC Enterprises, Apriso, FBI, Medical Data Exchange, ACS Education Services and Ford ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇, and each estoppel certificate shall be executed and delivered by the certifying tenant (collectively, the “Estoppel Delivery Condition”). Unless otherwise required by the terms of any specific Leases, Seller will request estoppels from all tenants of the Property in the form attached hereto as Exhibit G. Seller will request the estoppels no earlier than sixty (60) days after the Effective Date, provided, however, no estoppel will be issued as of a date more than forty-five (45) days prior to Closing. Prior to delivering the estoppels to tenants for review and execution, Seller shall deliver drafts of the estoppels to Buyer for review and approval, and Buyer will have two (2) business days to review the draft estoppels and notify Seller of any requested corrections or additions thereto. Estoppel certificates shall be deemed to satisfy this condition precedent unless they disclose material adverse matters. Buyer shall notify Seller within three (3) business days of receipt of a copy of the executed estoppel certificate of its approval or disapproval and the basis of such disapproval, if disapproved and Seller shall use commercially reasonable efforts to satisfy the Estoppel Delivery Condition by the date which is three (3) business days prior to Closing. If Buyer disapproves of an estoppel certificate because of a material, adverse matter disclosed therein, and Seller is unable to obtain a reasonably acceptable estoppel certificate prior to the Closing, then, at Buyer’s election, this Agreement shall terminate, Buyer shall be entitled to a refund of the Deposit (including the Initial Deposit and the Additional Deposit), and neither party shall have any further obligation to the other except Buyer’s indemnification obligations under Section 5. If Buyer has not received the required amount of estoppels to satisfy the Estoppel Delivery Condition by the date which is three (3) business days prior to Closing, then Seller or Buyer shall be permitted to extend the Closing Date until five (5) days after the receipt of all such estoppels, to permit Seller to secure such estoppels to meet the Estoppel Delivery Condition, but in no event shall Seller extend Closing by more than thirty (30) days.
Major Tenants means those certain Tenants representing or leasing 50,000 square feet or more in any one Property excluding the GSA.

Examples of Major Tenants in a sentence

  • Lender shall have received appropriate instruments acceptable to Lender in its commercially reasonable discretion subordinating the Leases of each of the Major Tenants and other Leases of record prior to the Mortgage and including an agreement by such Tenants to attorn to Lender in the event of a foreclosure or delivery of a deed in lieu thereof.

  • The statements shall show in detail all income derived from and expenses incurred in connection with the ownership of the Property, including current annual sales figures for all Major Tenants of the Property if required under the Major Tenant leases or if such financial information is otherwise available.

  • The Borrower will immediately notify the Agent in writing of the occurrence of any failure of any of the Major Tenants to materially comply with any of the material terms, covenants, conditions or agreements under any of the Major Leases.

  • Notwithstanding the terms of the immediately preceding sentence, Purchaser shall not be obligated to accept a Seller estoppel for more than 15% (based upon square footage) of the balance of the tenants at the Property remaining (after Major Tenants).

  • It shall be a default hereunder if either: (i) any part of any of the Improvements situated on the Real Property shall be condemned by any governmental authority having jurisdiction; or (ii) lands constituting a portion of the Real Property shall be condemned by any governmental authority having jurisdiction, such that the remaining Property is in violation of applicable parking, zoning, platting, or other ordinances, or fails to comply with the terms of the Occupancy Leases with Major Tenants.


More Definitions of Major Tenants

Major Tenants means all tenants leasing space pursuant to Major Tenant Leases.
Major Tenants mean those Tenants set forth on EXHIBIT L annexed hereto. The Tenant Estoppel Certificates shall be substantially in the form of and substantially upon the terms set forth on EXHIBIT M annexed hereto. The Owners shall deliver the original executed Tenant Estoppel Certificates to Cedar as and when the same shall be delivered to the Owners, but in no event later than ten (10) Business Days prior to the Closing Date. If any Tenant Estoppel Certificate shall have been modified or qualified in any fashion that, individually or in connection with other Tenant Estoppel Certificates, reveals facts, conditions or circumstances which result or may result in a material adverse change in the financial condition of the Property, or are inconsistent in any material respect with the representations of the Owners set forth in Section 4.1 above, then Cedar may disapprove the same (such disapproved Tenant Estoppel Certificates, the "Unacceptable Certificates") by notice delivered to the Owners promptly following Cedar's receipt of such Unacceptable Certificate, and, for purposes of establishing whether the Estoppel Condition has been satisfied, any Unacceptable Certificates shall be deemed not to have been received.
Major Tenants has the meaning set forth in Section 8.2.5.
Major Tenants means the Tenants set forth on SCHEDULE 15 hereto.
Major Tenants means any tenant of the Building leasing premises with a total Rentable Area equal to or greater than 10,000 square feet and any other tenant of the Building designated by the Landlord as a Major Tenant.
Major Tenants and "Material Tenant" Any Tenant and Tenants, as the context may require, occupying more than 7,500 square feet in any of the Properties or ground leasing any real property at any of the Properties listed in Sellers Disclosure Schedule.
Major Tenants means the Tenants identified on Schedule 3, attached hereto.
