Majority Selling Investors definition

Majority Selling Investors means those Selling Investors whose Registrable Securities included in a registration represent a majority of the Registrable Securities of all Selling Investors included therein.
Majority Selling Investors means, with respect to any Demand Registration or Piggyback Registration, any one or more Selling Investors who hold a total number of Registrable Shares equal to at least a majority of the aggregate number of Registrable Shares which are held by all Selling Investors and which are or are to be included in such Demand Registration or Piggyback Registration.

Examples of Majority Selling Investors in a sentence

  • Any such managing underwriter, managing selling or placement agent or syndicate manager selected by the Majority Selling Investors, shall be subject to the Company's approval, which shall not be unreasonably withheld or delayed.

  • The Majority Selling Investors may terminate or abandon such Demand Registration upon written notice to the Company to that effect, in which event such Demand Registration shall be deemed not to have been requested.

  • Subject to the last sentence of this Section 5.01, the Company shall not be required to pay the ------------ Registration Expenses of any Demand Registration begun pursuant to Section 2.02 ------------ that is withdrawn at the request of the Majority Selling Investors, unless the Majority Investors elect in writing to have such registration counted as a Demand Registration.

  • If the Company shall suspend the filing of any Registration Statement pursuant to this Section 2.07, the Majority Selling Investors shall have the right to withdraw the Demand Notice for such registration by giving written notice to the Company prior to expiration of such suspension period.

  • The Company shall also cooperate with the Majority Selling Investors or Initiating Substantial Investor, as the case may be, and the Underwriters’ Representative or Agent for such offering in the marketing of the Registrable Securities, including making available the Company’s officers, premises, books and records for such purpose, but the Company shall not be required to incur any material out-of-pocket expense pursuant to this sentence.

  • Subject to the last sentence of this Section 5.01, the Company shall not be required to pay the Registration Expenses of any Demand Registration begun pursuant to Section 2.02 that is withdrawn at the request of the Majority Selling Investors, unless the Majority Investors elect in writing to have such registration counted as a Demand Registration.

Related to Majority Selling Investors

  • Majority Shareholders means Xxxxxxx X. Xxx and Xxxxxxx X. Xxxxxxx.

  • Majority Stockholders means any Stockholder or combination of Stockholders who at the date of this Agreement own shares of Company Common Stock representing more than two-thirds of the total number of shares of Company Common Stock outstanding at the date of this Agreement.

  • Majority Shareholder means a holder of more than fifty percent (50%) of the outstanding stock of the Company, or if no person holds more than fifty percent (50%) of the outstanding stock of the Company, the holder of a plurality of the outstanding stock of the Company.

  • Majority Stockholder means, collectively or individually as the context requires, TPG Capital, L.P., Apollo Global Management, LLC and/or their respective affiliates.

  • PIPE Investors means those certain investors participating in the PIPE Investment pursuant to the Subscription Agreements.

  • Other Selling Stockholders means persons other than Holders who, by virtue of agreements with the Company, are entitled to include their Other Shares in certain registrations hereunder.

  • Existing Investors shall have the meaning given in the Preamble hereto.

  • Selling Stockholders means Purchaser and any other purchaser of Units in the Offering, and their respective successors and assigns.

  • Minority Shareholders means holders of Shares that were not tendered pursuant to the Offer or in the Subsequent Offering Period (as it may be extended by the Minority Exit Offering Period).

  • Lead Investors means collectively, BlackRock, GSO, Magnetar and, solely for purposes of Section 2.02(b), Investment Partners V (II), LLC.

  • Majority Investors means, as of any date, the holders of a majority of the Investor Shares outstanding on such date.

  • Majority Holders means the Holders of a majority of the aggregate principal amount of Securities registered under a Registration Statement.

  • Requesting Investor has the meaning set forth in Section 7.5 of the Indenture.

  • Majority Shareholder Vote means a vote of “a majority of the outstanding voting securities” (as such term is defined in the 0000 Xxx) of the Trust with each class and series of Shares voting together as a single class, except to the extent otherwise required by the 1940 Act or this Declaration with respect to any one or more classes or series of Shares, in which case the applicable proportion of such classes or series of Shares voting as a separate class or series, as the case may be, also will be required.

  • Majority Participating Holders means Participating Holders holding more than 50% of the Registrable Securities proposed to be included in any offering of Registrable Securities by such Participating Holders pursuant to Section 2.1 or Section 2.2.

  • Participating Investor any Participating Account, Participating Insurance Company or Participating Plan, including the Account and the Company.

  • Key Holders means the persons named on Schedule B hereto, each person to whom the rights of a Key Holder are assigned pursuant to Subsection 3.1, each person who hereafter becomes a signatory to this Agreement pursuant to Subsection 6.9 or 6.17 and any one of them, as the context may require.

  • Investor Majority means [the holders of at least [ ] per cent of Series A Shares from time to time] [Note: amend as appropriate];

  • Co-Investors means each of (a) the Fund and the Fund Affiliates (excluding any of their portfolio companies) and (b) the Management Group.

  • Selling Holders means, with respect to a specified registration pursuant to this Agreement, Holders whose Registrable Securities are included in such registration.

  • Transferring Stockholder has the meaning assigned to such term in Section 3.4(a).

  • Controlling Shareholders means controlling shareholders of the Company, as such term is defined in the Ordinance.

  • Initiating Holders means, collectively, Holders who properly initiate a registration request under this Agreement.

  • Lead Investor means Cavalry Fund I LP.
