Manager Fee definition

Manager Fee shall have the meaning set forth in Section 2.1(b) of the Management Agreement.
Manager Fee means the fees, expenses and other amounts owed to the Manager pursuant to the Management Agreements.
Manager Fee means for each Payment Date (in accordance with and subject to the Priority of Payments) an amount equal to the product of (i) one-twelfth of the O&M Fee Base Rate and (ii) the sum of (1) the aggregate DC nameplate capacity (measured in kW) of all PV Systems related to the Solar Loans owned by the Issuer as of the first day of the related Collection Period (excluding PV Systems related to Defaulted Solar Loans that are not operational and not in the process of being removed, repaired or replaced) and (2) [***] kW multiplied by the number of ESS Solar Loans owned by the Issuer as of the first day of the related Collection Period (excluding Defaulted Solar Loans for which the related Energy Storage System is not operational and not in the process of being removed, repaired or replaced).

  • Such advances, if any, shall be credited against such portion of the Dealer Manager Fee payable pursuant to Section 3(d) that is retained by the Dealer Manager and not re-allowed until the full amount of such advances is offset.

Manager Fee means a monthly fee equal to $25.00 per Railcar per month (whether or not such Railcar is then subject to a Lease); provided, however, that the Manager Fee, at the direction of the Controlling Party, may be increased to up to $37.50 per Railcar (whether or not such Railcar is then subject to a Lease) per month in the event that any Person other than the Initial Manager shall be the Manager.
