Managing Member definition

Managing Member means CEF Equipment Holding, L.L.C., a Delaware limited liability company or any successor Managing Member under the Issuer Limited Liability Company Agreement.

Managing Member is defined in the recitals to this Agreement.

Managing Member means, as the context requires, the managing member of the Company or the managing member of a Series.

Examples of Managing Member in a sentence

• No Member shall have the power or right to withdraw or otherwise resign as a Member from the Company prior to the dissolution and winding up of the Company pursuant to Article XIII without the prior written consent of the Managing Member, except as otherwise expressly permitted by this Agreement, provided, that, any Member may cease to be a Member when such Member ceases to hold any Units.

• The Managing Member may, subject to (i) any restrictions contained in the Credit Agreements, (ii) having available cash (after setting aside appropriate reserves), and (iii) any other restrictions set forth in this Agreement, make Distributions at any time and from time to time.

• The Class C Voting Units shall be entitled to three (3) votes per Class C Voting Unit with respect to any designation of the Managing Member pursuant to Section 5.3, designation of an additional Managing Member or substitute Managing Member pursuant to Section 10.3, or as otherwise required by law, and shall not otherwise be entitled to any rights, privileges or obligations under this Agreement.
